Key Responsibilities
- Provide essential support for compliance with securities laws and regulatory filings with the SEC, NYSE, and other governing bodies.
- Assist with periodic and ad-hoc regulatory reporting, including Forms 10-K, 10-Q, 8-K, and proxy statements, while upholding the company’s insider trading compliance program.
- Manage international securities filings related to employee equity and ESPP purchases, ensuring adherence to local regulations.
- Collaborate with cross-functional teams on various corporate legal matters and special projects.
- Support capital market transactions by aiding with due diligence and KYC requests.
- Liaise with transfer agents and respond to shareholder inquiries.
- Facilitate document production for SOX compliance and internal audits, while supporting corporate governance and compliance processes.
- Exceptional writing abilities and expertise in conducting legal research.
- Proficiency in Section 16 and EDGAR filings is preferred.
- Strong attention to detail, organizational skills, and effective time management.
- Capacity to operate both independently and collaboratively in a fast-paced setting.
- Proficient in Microsoft Office Suite, including Word, Excel, PowerPoint, Outlook, and Teams.
- Notary Public license or willingness to obtain one.
- A minimum of 5 years of relevant experience with a Bachelor’s Degree; or 2 years with an Advanced Degree (Master’s, MBA, JD, MD); or no experience with a PhD.
- Preferred: 6 years of relevant experience with a Bachelor’s Degree; or 4 years with an Advanced Degree; or up to 3 years with a PhD.
- Demonstrated experience as a corporate paralegal, ideally within a top-tier international law firm or a large public company’s in-house legal department.
