What are the responsibilities and job description for the Senior Counsel, Insurance and Corporate - Hybrid Opportunity position at GuideOne Insurance?
As the Senior Counsel, Insurance and Corporate, you will be responsible for overseeing and undertaking compliance and legal initiatives in partnership with GuideOne leadership and The Mutual Group (TMG), GuideOne's managing general agent. You will provide the General Counsel and the leadership team with timely and effective legal advice on company issues and their execution. In this role you will also manage outside counsel (as needed) and regulatory compliance functions.
Work Arrangements : The expectation in this hybrid role is to be in the company offices 3 days per week with the ability to work-from-home the remaining days.
Accountabilities :
- Provides, either directly or with the assistance of outside counsel, legal support and guidance in the areas of insurance regulations and compliance, claims and coverage, privacy policy and contract law.
- Participates in all material regulatory communications and exams conducted on group companies; reviews and advises on responses to regulatory complaints and requests.
- Develops communication strategies and relationships with critical regulators.
- Works with all segments and support functions, as well as TMG, to ensure regulatory issues are well communicated and addressed.
- Advises on critical contracts, in partnership with TMG, including reinsurance transactions, IT licenses and SOWs, NDAs, complex insurance policies and various broker and agent contracts.
- Manages the company's Litigation Specialist and advises on direct and bad faith actions.
- Partners with TMG to maintain comprehensive knowledge of pertinent federal and state legislation, insurance department bulletins, DOI interpretations, and court decisions.
- Assists with intellectual property law including trademark and copyright law, licensing of IP rights and IP due diligence.
- Assists with development of agendas, notices and materials (proxies) for annual member meetings and quarterly board committee meetings as requested.
- Reviews claims coverage denials and advises on determination to obtain coverage opinions.
- All other duties as assigned.
