WHO WE NEED:
We are seeking a detail-oriented and experienced Contracts Administrator to join our growing legal team. The ideal candidate will have strong expertise in technology contract drafting and review, corporate governance, and administrative support. This role requires excellent organizational skills, attention to detail, and the ability to wear many hats for the company. This role will provide the candidate with exposure to virtually all lines of the company. The Contracts Administrator will report to the Director of Legal, Senior Counsel.
WHAT YOU’LL DO:
Contract Management
Draft, review, edit, and analyze various types of contracts, including NDAs, licensing agreements, and partnership agreements
Provide guidance and support to colleagues regarding contract-related matters
Handle amendments and/or supplemental agreements of existing contracts as needed to accommodate changes in business requirements
Coordinate with various departments to ensure contracts comply with legal and regulatory standards and company policies
Contract Negotiation
Collaborate with cross-functional teams, including legal, procurement, finance, sales, and professional services to ensure alignment on contract terms and conditions
Act as the point of contact for contract-related discussions
Strive to achieve favorable terms and conditions while maintaining strong customer relationships
Administrative Support
Act as a point of contact for inquiries and provide accurate and timely responses
Provide administrative support to the legal team’s daily tasks
Assist in the drafting and filing of corporate documents, including secretary of state filings
Support and improve the newly developed procurement process, including tracking contract renewals and expirations
Documentation and Record-Keeping
Manage and improve the contract lifecycle through DocuSign CLM
Route contracts for signature and collect and save fully executed contracts in DocuSign CLM
Maintain accurate and organized contract records in DocuSign CLM
Legal Research and Compliance
Conduct legal research on laws and regulations specific to data privacy and the construction technology industry
Monitor regulatory updates and inform the legal team of changes affecting the business
REQUIREMENTS/QUALIFICATIONS:
Bachelor’s degree or equivalent in a related field
5 years of relevant in-house and/or top-tier law firm experience working as a Contracts Administrator or a Corporate Paralegal, preferably including a demonstrable history of experience with technology companies
The successful candidate will have experience in technology contracts, corporate governance, and streamlining company policies and procedures
Capable to operate independently and proactively in a fast-paced environment and to prioritize a dynamic workload
Possess excellent judgment and exceptional attention to detail
Has high energy, integrity, and flexibility and is a fast learner
Service-oriented and good team player with a willingness to wear many different hats to accomplish tasks and goals
Strong interpersonal skills since this role will collaborate closely with cross-functional teams, including executives
Excellent writing, research, analytical, and organizational skills
Ability to maintain confidentiality and to operate in the role with the highest ethical standards and professionalism
Working knowledge of Salesforce and DocuSign CLM
Proficient with Microsoft Office
Bonus Qualifications:
Experience with on-prem and SaaS licensing
Familiarity with data privacy, artificial intelligence, and similar areas of the law
Paralegal certification
CIPP/US certification
