Job Description: Real Estate Attorney (Commercial Transactions)
Position Overview: We are seeking an experienced and highly skilled Real Estate Attorney to join our client's inhouse legal team. The ideal candidate will specialize in handling large commercial real estate transactions, with a focus on deals ranging from $30 million to $100 million. This position requires expertise in negotiating, drafting, and closing complex commercial property transactions, ensuring compliance with all applicable laws and regulations, and mitigating risks for their clients.
Key Responsibilities:
Transaction Management:
- Oversee and manage all legal aspects of large-scale commercial real estate transactions, including acquisitions, dispositions, financing, leasing, and joint ventures.
- Lead the closing process, ensuring that all documentation and legal requirements are completed accurately and on time.
Contract Drafting and Negotiation:
- Draft, review, and negotiate purchase agreements, loan documents, leases, joint venture agreements, and other related contracts.
- Ensure that all contractual terms protect the client’s interests while maintaining compliance with applicable laws and regulations.
Title and Due Diligence:
- Conduct and oversee thorough title examinations, surveys, and environmental reviews to identify and address potential risks.
- Resolve title and other due diligence issues efficiently to avoid delays in transaction timelines.
Regulatory Compliance:
- Provide guidance on zoning, land use, and other regulatory matters impacting commercial real estate transactions.
- Ensure compliance with federal, state, and local real estate laws.
Client and Stakeholder Collaboration:
- Serve as a trusted advisor to clients, providing strategic counsel throughout the transaction lifecycle.
- Work closely with brokers, lenders, developers, and other stakeholders to facilitate seamless transactions.
Risk Mitigation:
- Identify potential legal and financial risks in transactions and develop strategies to mitigate them.
- Advise clients on dispute resolution and represent them in negotiations or legal proceedings if necessary.
Market Expertise:
- Stay informed about trends and developments in the commercial real estate market, including financing structures, market conditions, and regulatory changes.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the state bar in the jurisdiction of practice (or ability to obtain admission).
- Minimum of 10 years of experience specializing in commercial real estate law, with a proven track record of successfully closing transactions between $30MM and $100MM.
- In-depth knowledge of real estate law, including zoning, title, financing, and environmental regulations.
- Exceptional negotiation, drafting, and analytical skills.
- Strong attention to detail and the ability to manage multiple high-value transactions simultaneously.
- Excellent communication and interpersonal skills, with the ability to build strong client relationships.
- Proficiency in legal research tools and relevant technology.
Preferred Experience:
- Experience working with institutional investors, REITs, private equity firms, or large developers.
- Familiarity with complex financing structures, including mezzanine loans and syndicated loans.
- Prior experience with cross-border commercial real estate transactions.
