Role Overview: We are seeking an experienced and detail-oriented transactional attorney with expertise in commercial and residential real estate, as well as general corporate matters, including LLC and LP formations/compliance and financial transactions. This role requires a deep understanding of California real estate law, corporate governance, and financial regulations, as well as a strong ability to provide strategic legal counsel to high-net-worth individuals and their businesses. Attorney Qualifications:
· Licensed to practice law in the State of California and in good standing
· Minimum 3-4 years in areas listed under “Key Responsibilities,” below
· 2-3 years litigation experience in those areas a plus
· Excellent communication and interpersonal skills, with the ability to build and maintain client relationships
· Excellent drafting, writing, and analytical skills
· Highly organized and detail-oriented with a commitment to delivering high quality legal services
· Ability to manage multiple projects
Key Responsibilities: assist very busy other attorney in same practice area with respect to the following:
1.Real Estate Transactions:
- Oversee and manage the acquisition, disposition, financing, and leasing of high-value commercial and residential real estate properties
- Draft, review, and negotiate purchase and sale agreements, leases, financing documents, and other real estate contracts.
- Conduct due diligence, including title and other possible regulatory concerns.
- Advise high-net-worth clients on real estate investment strategies and portfolio management.
2.Corporate and Entity Formation:
- Assist clients in forming and structuring LLCs, LPs, corporations, and other entities tailored to their specific needs, which may include filings in Delaware and Wyoming.
- Draft and negotiate operating agreements, partnership agreements, shareholder agreements, and bylaws.
- Provide counsel on corporate governance, regulatory compliance, and risk management.
3.Financial and Transactional Matters:
- Advise on financing structures, including loans, deeds of trust, private equity investments, and joint ventures.
- Draft and negotiate loan agreements, security documents, and related financial instruments.
- Collaborate with financial institutions, investors, and other stakeholders to facilitate smooth transaction processes.
4.Property Transfers and Easements.
- Draft and review various property transfers and easements for clients.
- Conduct various research and chain of title issues regarding title transfers and easements.
5.Strategic Legal Counsel:
- Offer proactive legal guidance to high-net-worth clients, identifying and mitigating potential risks in transactions and business operations.
- Stay updated on changes in California real estate and corporate laws to ensure compliance and provide accurate advice.
- Represent clients in negotiations and resolve disputes related to real estate, corporate, and financial transactions.
6.Client Relations:
- Build and maintain strong relationships with high-net-worth clients, acting as a trusted advisor in their business and investment endeavors.
- Clearly communicate complex legal concepts to clients and provide tailored solutions that align with their goals.

Competitive compensation based on experience starting at a yearly salary of $180,000 , plus discretionary bonuses
