Summary
The Paralegal will provide vital legal and administrative support to ICBA Payments and its subsidiary, TCM Bank. This role assists in ensuring compliance with applicable laws, supports contract management, and facilitates corporate governance initiatives. The Paralegal will work closely with the General Counsel and other senior leaders to support the organizations’ strategic and operational goals. This position requires exceptional organizational skills, a proactive mindset, and a commitment to maintaining the highest standards of professionalism.

Responsibilities
Legal Support
- Assist in drafting, reviewing, and organizing a variety of legal documents, including contracts, corporate governance policies, and regulatory filings.
- Conduct legal research and provide summaries of findings to support decision-making
Contract Management
- Maintain a contract database and tracking system for ICBA Payments and TCM Bank.
- Support contract negotiation processes by preparing templates, reviewing redlines, and ensuring consistency with organizational objectives and regulatory requirements.
Regulatory Compliance Assistance
- Prepare and organize documentation required for compliance with federal and state regulations, including FDIC, CFPB, and OCC guidelines.
- Support audits and regulatory examinations by compiling necessary records and coordinating responses.
Corporate Governance Support
- Assist with preparing materials for Board of Directors meetings, including agendas, resolutions, and meeting minutes.
- Maintain corporate records and ensure adherence to governance best practices.
Litigation and Risk Management
- Coordinate with external counsel on litigation matters, tracking deadlines and providing internal updates.
- Assist in monitoring and managing legal risks across the organization.
Administrative Functions
- Maintain an organized filing system for legal documents and correspondence.
- Track key dates, deadlines, and deliverables to ensure compliance and timely action.
Qualifications
- Bachelor’s degree or paralegal certificate from an accredited program.
- Minimum of 3-5 years of experience as a paralegal, preferably in the financial services or payments industry.
- Strong understanding of legal concepts related to contracts, regulatory compliance, and corporate governance.
- Excellent organizational and multitasking skills with keen attention to detail.
- Proficiency in legal research tools and Microsoft Office Suite.
- Ability to maintain confidentiality, and to exercise discretion and good judgment.
- Excellent time management skills with a proven ability to meet deadlines.
- Strong knowledge of legal principles, concepts, and legal research methodology relevant to document production in a legal context.
- Performs other related duties as assigned.
Preferred Qualifications
- Experience in banking, payments, or fintech industries.
- Familiarity with key regulatory frameworks such as Dodd-Frank, GLBA, and PCI DSS.
- Prior experience managing corporate governance activities, including Board support.
Compensation and Benefits
The target annual salary range for this role is currently $60,000 to $85,000 based on a regular, full-time schedule. The amount of compensation offered will be determined by several factors, including but not limited to experience, qualifications, market data and internal equity. Total compensation includes a comprehensive healthcare benefits package (medical, dental and vision), 401k plan company match contribution, and an annual performance bonus.
