Senior Corporate Securities Paralegal
Location: Houston, TX (Executive Office)
Reports to: General Counsel & Corporate Secretary

Our executive office, based in Houston, TX, is seeking a Senior Corporate Paralegal to join our Legal Department and play a key role in supporting our corporate governance, SEC compliance, and transaction management functions.
The Opportunity
As a Senior Corporate Paralegal, you will work directly with the General Counsel and Corporate Secretary, providing legal and corporate governance support in a dynamic and fast-paced environment. This role is ideal for a proactive, detail-oriented professional with strong organizational skills and a passion for corporate legal work. Key Responsibilities
Corporate Governance & Board Support
- Maintain corporate records, minute books, and entity management for corporations, LLCs, and partnerships.
- Draft and file governance documents such as articles of incorporation, bylaws, board resolutions, stock certificates, and powers of attorney.
- Support Board of Directors activities, including the preparation and organization of Board materials via a cloud-based electronic platform.
- Coordinate logistics for the annual stockholders meeting, including preparation of meeting materials and liaison with external vendors.
Securities & Compliance
- Prepare and file SEC reports, including Forms 3, 4, and 5, Proxy Statements (Schedule 14A), Form 10-K, Form 10-Q, and Form 8-K.
- Ensure compliance with NASDAQ listing requirements and corporate policies related to stock ownership and insider trading compliance.
- Manage stock ownership records for directors and officers, working with transfer agents and maintaining communication regarding stock transactions.
- Oversee insider trading compliance, including blackout period notifications and trading clearance procedures.
Transaction & Contract Support
- Assist with M&A transactions, strategic investments, credit facility amendments, and corporate restructurings.
- Review and manage nondisclosure agreements (NDAs) and other legal documents.
- Provide legal support to CEO, CFO, and other executive leaders on corporate matters.
Corporate Administration & Technology
- Serve as the primary administrator for SEC filings using Workiva, ensuring accuracy and compliance.
- Maintain and organize legal department records, governance filings, and compliance documentation.
- Leverage technology tools (Adobe Pro, Microsoft Office, EDGAR, CT Matter Management, and Workiva) to streamline legal processes and filings.
- Ensure proper documentation and organization of compliance-related materials.
What You Bring
- Bachelor’s degree required.
- Minimum 5 years of corporate paralegal experience, including at least 2 years in a law firm and 3 years in-house at a publicly traded company.
- Experience with SEC filings and compliance (Workiva proficiency preferred).
- Strong knowledge of corporate governance, securities laws, and public company regulatory requirements.
- Excellent attention to detail, time management, and organizational skills.
- Ability to interface professionally with executives, board members, and external stakeholders.
- Strong problem-solving skills and a proactive, self-motivated attitude.
- Ability to work effectively in a fast-paced, deadline-driven environment.
Work Environment & Physical Requirements
- Office-based position in Houston, TX.
- Minimal travel required.
- Occasional overtime may be required for special projects and filings.
- Must be able to work a full workday in an office environment, including periods of sitting, standing, and using a computer.
