As a Senior Corporate Counsel, you will play a critical role in providing legal advice and guidance to our organization on a wide range of corporate and commercial matters. You will work closely with internal stakeholders to support the company's sales and other revenue generating departments through thoughtful contract negotiations, while also managing legal risks, ensuring compliance with regulations, and otherwise supporting our overall business initiatives. WHO YOU ARE
You have a Juris Doctor (JD) degree from an accredited law school and either admission to the Utah State Bar or the ability to obtain a Utah In-House Counsel status; additional qualifications such as LLM or MBA are a plus.Proven experience (6-8 years) as either a corporate counsel or in a similar legal role, preferably in a corporate environment or law firm.Strong knowledge of corporate law, commercial contracts, intellectual property, Data Protection / Privacy and regulatory compliance.Experience advising on mergers and acquisitions, corporate governance, securities law, and corporate finance.Ability to draft, review, and negotiate a variety of enterprise level commercial contracts and agreements.Excellent analytical and problem-solving skills, with attention to detail and accuracy.Strong communication and interpersonal skills, with the ability to influence and collaborate effectively with stakeholders at all levels.Ability to manage multiple projects and priorities in a fast-paced environment.Sound judgment and decision-making abilities, with a proactive and strategic mindset.Ability to manage and train less senior attorneys, paralegals and staff.Experience in the technology industry or with SaaS companies is a plus.WHAT YOU'LL DO
Provide legal advice and guidance on corporate governance matters, including advice to the business regarding general legal matters, board meeting minutes and formalities, corporate policies and governance, employment matters, and compliance issues.Draft, review, and negotiate a wide range of enterprise level commercial contracts, including large SaaS based customer agreements with Global 1000 companies, vendor contracts, and partnership agreements.Support mergers, acquisitions, and other strategic transactions by conducting due diligence, drafting transaction documents, and advising on legal risks and implications.Advise on regulatory compliance matters, agreements, while ensuring adherence to applicable laws and regulations.Collaborate with cross-functional teams, including finance, HR, sales and account managers, to address legal issues and support business initiatives.Manage external legal counsel and other legal service providers as needed.Stay updated on changes in laws and regulations that may affect the company and provide guidance on legal implications.Develop and deliver legal training and education programs for employees on relevant legal topics.WHAT YOU'LL GAIN
