Job Summary
The Associate General Counsel will directly report to the General Counsel and will assist the General Counsel and the Company’s Of Counsel in a wide range of legal matters. The primary focus of this position is drafting, negotiation and administration of commercial contracts for the purchase and sale of assets (real estate, plants, equipment, machinery) and ancillary agreements.
Essential Job Duties
- Draft, negotiate and finalize commercial contracts for both international and domestic complex and often multi-party business transactions, including asset purchase and sale agreements, real estate sale contracts, equipment lease agreements, sales agency agreements, non-disclosure agreements, non-circumvention agreements, environmental consulting and remediation agreements.
- Manage the Company’s insurance program, including handling of annual renewals and management of insurance claims.
- Perform due diligence for commercial transactions, including (in the case of real estate) review of title commitments, environmental records, recorded documents, and surveys.
- Draft corporate resolutions, partnership agreements, limited liability company / operating agreements, and other corporate documents for the Company and its affiliates / SPVs.
- Provide strategic advice and hands-on legal support across the business functions of the Company, including relating to ensuring legal compliance.
- Conduct legal research and analyze legal issues relating to proposed agreements and planned courses of action.
- Work with project management team to ensure ongoing compliance with contract obligations, and project completion and close out.
- Supervise outside law firms on a global basis.
- Assist with other matters and projects as directed by the General Counsel and / or senior management.
