Our successful client firm, and their busy corporate practice group, are seeking an Associate with 2-to-5 years of transactional M&A experience in a Big Law or peer firm, to add to their team. This is an ideal opportunity for the Associate to work closely with partners and clients and therefore must possess a solid understanding of structural and corporate issues pertaining to M&A transactions, as well as solid analytical skills.
The ideal candidate will have significant experience in an active corporate transactional practice including M&A and venture capital experience, particularly in private company M&A transactions, including asset and equity transactions and associated due diligence. Experience with credit agreements, equity and debt financings, franchising, securities, joint ventures, and entity structuring, including LLC operating agreements, is preferred.
Superior writing abilities are paramount for success in this bullish practice, including experience with leading the drafting and negotiation of definitive and ancillary documents for asset and equity transactions. Excellent oral communication skills in negotiations as well as analytical skills required.
The opportunity to represent clients on sophisticated matters in a balanced and supportive group setting makes this a sought-after circumstance. Juris Doctor (J.D.) degree from an accredited law school and admission to practice in NY State required. Compensation includes salary ($185K-to-$225K poss. ) and a generous hours-based bonus, along with a strong benefits package.
