The ideal candidate will assist in managing our company's legal affairs, with a particular focus on contract drafting and review, compliance matters, and corporate governance, in line with company policies and objectives. This is an excellent opportunity for a recent law school graduate or early-career lawyer to gain hands-on experience in a dynamic corporate environment. Alternatively, this is an excellent opportunity for an experienced lawyer looking either to re-enter or to stay in the workforce without committing to a full-time workload.
Essential Functions and Responsibilities
Contract Drafting and Review:
- Draft, review, and negotiate a variety of commercial contracts, including service agreements, leases, SaaS agreements, NDAs, and more.
- Ensure contracts comply with applicable laws and regulations and align with company policies and objectives.
- Assist in developing and maintaining standardized contract templates and clauses.
Compliance and Risk Management:
- Monitor and ensure compliance with applicable laws and regulations affecting the company’s operations.
- Conduct legal research and analysis on various legal issues as they arise.
- Assist in the development and implementation of corporate policies and procedures to mitigate legal risks.
Corporate Governance:
- Support the maintenance of corporate records, including resolutions and other governance documents.
- Assist in the preparation and filing of corporate documents with regulatory authorities.
- Provide legal support for corporate transactions, such as mergers and acquisitions.
General Legal Support:
- Provide general legal advice and support to various departments within the company.
- Assist in managing and responding to legal inquiries, disputes, and lawsuits.
- Liaise with external counsel as needed.
Qualifications
Job Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Admission to, and in good standing with, the Louisiana State Bar.
- 1-2 years of experience in corporate law, contract law, or a related field.
- Strong understanding of contract law and corporate governance principles.
- Excellent legal research, writing, and communication skills.
- Detail-oriented with strong organizational and analytical abilities.
- Ability to work independently and collaboratively in a fast-paced environment.
- Proficiency in legal research tools and Microsoft Office Suite.
Preferred Qualifications:
- Internship or clerkship experience in a corporate legal department or law firm.
- Familiarity with compliance and risk management practices.
- Experience with customer relationship management (CRM) and contract lifecycle management (CLM) software.
- Experience with government procurement, including request for proposal (RFP) processes.
Salary : $65,000 - $90,000
