- Handle M&A transactions, including buy-side and sell-side deals for private equity firms and privately held companies.
- Draft and negotiate corporate agreements, including purchase agreements, shareholder agreements, and corporate governance documents.
- Conduct due diligence and assess risk in complex corporate transactions.
- Collaborate with clients and internal teams to structure deals efficiently.
- Provide strategic legal guidance on corporate finance and business services matters.
- Work on national and international transactions with direct client contact and responsibility for negotiations.
- Juris Doctor (JD) and licensed to practice in Virginia
- 3 years of transactional experience, including M&A, corporate law, and working with privately held companies.
- Experience negotiating and drafting corporate agreements.
- Strong analytical skills and a positive, client-focused attitude.
- Experience with private equity and finance transactions is a plus.
