We are seeking a highly skilled and experienced Corporate Attorney to join our dynamic legal team. This is a permanent position that offers a unique opportunity to work on a broad range of corporate matters and transactions. The successful candidate will provide legal advice and support to our business units and executives on a variety of legal matters, including corporate law, contracts, mergers and acquisitions, compliance, corporate governance, and risk management.

Responsibilities

• Provide strategic legal advice and support to senior management on various corporate and commercial matters.
• Draft, review, and negotiate a wide range of commercial contracts and agreements.
• Conduct due diligence reviews in connection with potential business transactions and advise on potential risks and mitigation strategies.
• Assist in the structuring, negotiation, and execution of corporate transactions, including mergers, acquisitions, joint ventures, and divestitures.
• Provide legal advice on corporate governance matters and assist in the preparation of corporate governance documents.
• Advise on compliance with applicable laws and regulations, including securities laws and corporate governance standards.
  
  

Qualifications

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the state bar.
• Minimum of 5 years of experience as a corporate attorney, preferably in a law firm. Experience with securities law is preferred.
• Demonstrated experience in conducting due diligence, drafting and negotiating contracts, and advising on corporate law and compliance matters.
• Strong knowledge of corporate law, contracts, and compliance.
• Excellent negotiation, communication, and interpersonal skills.
• Ability to work independently and as part of a team.
• Strong analytical and problem-solving skills.
• Ability to manage multiple tasks and projects simultaneously in a fast-paced environment.
• High level of professionalism and confidentiality.
