We are seeking a highly skilled and experienced Associate or Vice President to join our M&A Transaction Execution Group, offering an exceptional opportunity to contribute to high-profile transactions and drive growth within a leading financial institution.
Position Summary:
As an Associate/Vice President of the Transaction Execution Group in the Mergers and Acquisitions (“M&A”) team, you will work directly with deal teams across various industries. Your role will involve assisting with engagement letters and other legal documentation, being aware of internal and external nuances, and maintaining dialogue with external law firms. You will also play a crucial role in preparing legal forms and documentation for M&A transactions, and ensuring consistency in approach across internal teams. This role provides an opportunity to develop relationships with senior M&A members, internal legal teams, and outside law firms, and to stay informed about trends and movement in terms.
Job Responsibilities:
- Initial preparation of standard M&A legal forms and documentation, including engagement letters, league table credit letters, relationship disclosure letters, accountant allocation letters, fairness opinion letters, proxy inserts, in conjunction with Legal and respective deal teams
- Support the M&A deal team in preparing fee proposals for new client mandates
- Create and review NDAs
- Inform and maintain data set of key terms for M&A deals
- Develop relationship with senior M&A members, internal legal and outside law firms
- Update all internal parties on documentation trends and movement in terms
Required qualifications, capabilities and skills:
- Experience at a top tier law firm or financial institution legal / financial practice as a paralegal or other similar role
- Basic comfort with Microsoft suite of applications
- Ability to run multiple processes while maintaining keen attention to detail
- Proactive self-starter
- Superb organization and communication skills
- Strong work ethic and availability when needed
Preferred qualifications, capabilities and skills:
- Prior experience working with J.P. Morgan and having an understanding of its forms, precedents and procedures would be helpful
