Just Ingredients is seeking a highly skilled Corporate Counsel to provide legal expertise in business law, specializing in e-commerce companies. This position will handle various legal matters, including business litigation, regulatory compliance, risk management, legal contracts, letters of agreement, and various commercial, financial, and operational issues. The Corporate Counsel will support and guide the Company’s efforts in maintaining legal integrity and minimizing risk across multiple sectors, especially focusing on the growing e-commerce industry.
Key Responsibilities:
- Provide expert legal counsel on business-related matters, including but not limited to, business litigation, regulatory compliance, risk management, commercial contracts, intellectual property rights, partnerships, mergers and acquisitions, financial transactions, and operational issues.
- Advise on e-commerce law, including compliance with applicable state, federal, and international laws, intellectual property matters, advertising regulations, data privacy, cybersecurity, and consumer protection.
- Draft, review, and negotiate complex legal contracts, letters of agreement, vendor agreements, customer contracts, licensing agreements, and service contracts with any other business-related legal documents to ensure compliance with relevant laws and regulations.
- Manage and coordinate the resolution of business litigation matters, including disputes, settlement negotiations, and court appearances. Coordinate with external counsel as needed and represent the company in legal matters.
- Provide proactive legal strategies for risk management related to product development, marketing, and operations. Advise leadership on best practices to ensure compliance with applicable laws and mitigate potential business risks.
- Oversee compliance with state and federal health and safety regulations, consumer protection laws, advertising standards, providing support in safety protocols and liability risk management.
- Assist in corporate governance matters, including drafting and reviewing corporate policies, shareholder agreements, and other legal documents that help ensure compliance with corporate governance standards.
- Collaborate closely with senior leadership, marketing, product development, and operational teams to ensure the company’s activities align with legal and regulatory requirements.
- Provide ongoing legal advice on day-to-day business activities and act as a trusted advisor on all company matters.
- Juris Doctor (J.D.) from an accredited law school and admission to practice law in the State of Utah.
- At least 5-10 years of experience as a corporate counsel, with a focus on business law, commercial contracts, e-commerce, and business litigation.
- Extensive knowledge of business law, including contracts, regulations, risk management, financial transactions, and operational issues.
- Proven experience advising e-commerce businesses, particularly in the areas of product marketing, FDA regulations, consumer protection, data privacy, intellectual property, and digital platforms.
- Expertise in risk management and the ability to advise on strategies to reduce legal and financial exposure.
- Excellent legal writing, negotiation, and communication skills, with the ability to present complex legal concepts to non-legal stakeholders.
- Proven ability to work independently and collaboratively in a fast-paced, dynamic, and hyper growth environment.
- Strong negotiation, analytical, problem-solving, and critical-thinking skills.
- High ethical standards and the ability to manage sensitive information with discretion.
- Experience in the health and wellness or consumer goods sector.
- Experience with international e-commerce laws and cross-border transactions.
- Knowledge of data privacy and cybersecurity laws (GDPR, CCPA, etc.) as they apply to e-commerce businesses.
- Prior in-house counsel experience with a growth-stage company is a plus.
