Key Responsibilities
- Draft investment and stockholder agreements
- Structure and negotiate SAFE agreements and convertible notes
- Draft and review term sheets
- Prepare seed financing documentation
- Guide Series A preparation and process
- Structure bridge financing rounds
- Handle investor rights agreements
- Manage right of first refusal/co-sale agreements
- Structure preferred stock terms
- Advise on anti-dilution provisions
- Guide investor relations and communications
- Manage investment closing processes
- Juris Doctor (JD) from an accredited law school
- Active attorney license in good standing
- 5 years of subject matter experience
- BigLaw training/experience strongly preferred
- Deep understanding of startup financing
- Experience with early-stage investment rounds
- Knowledge of venture capital market terms
- Experience advising growth-stage companies
- Understanding of investor relations
- Position structured as independent project-based engagement
