Kaseya is an exciting, fast moving and growing software-sales organization. The Corporate Paralegal will be primarily focused on supporting the General Counsel and Senior Paralegal in day-to-day operations as needed. As such, the Corporate Paralegal will be tasked with anything ranging from e-filing (in the U.S. and abroad) to customer-sales interaction and everything in between. We are looking for an independent problem solver with a can-do attitude, a high level of attention to detail, and general information technology and business acumens.
Essential Responsibilities:
- Transaction and Contract Support: Review nondisclosure agreements, license agreements, business associate agreements, data protection agreements, reseller agreements, distributor agreements, marketing agreements, vendor agreements, and others. Support General Counsel and executives on various projects; respond to customer requests; support sales staff.
- Corporate Governance: Set up, maintain minute books and records of, and dissolve corporations, limited liability companies, and partnerships; Draft and file, when applicable, documents such as articles of incorporation, bylaws, board and shareholder minutes, consents, stock certificates, and powers of attorney; Assist with public corporate board activities, including preparation of Board materials for Board meetings and minutes; Manage various aspects of the process for preparing and executing the annual stockholders meeting, including coordinating logistics, liaising with third party vendors and preparing various meeting and public company filing materials.
- Securities Matters: Assist with SEC filings including Section 16 stock trading reports (Forms 3,4,5), and periodic filings including, but not limited to, Schedule 14A/Proxy Statement, Form 10-K, Form 10-Qs, and Form 8-Ks; Assist with compliance with NASDAQ rules and regulations; Maintain stock ownership records for directors and officers, and communicating with directors, officers and transfer agent regarding stock ownership matters; Manage insider trading compliance, including clearance processes, distribution of the company's black-out calendar, and communication of insider trading windows.
- Corporate Administration: Responsible for assisting with legal updates to internal and external auditors and the Board of Directors; maintaining filing system for legal and corporate governance records; drafting correspondence; and providing general administrative support. Develop and enforce processes and policies to manage outside counsel usage and spend. Assist with budget matters and optimizing workflows within the legal department.
- Utilize advanced computer software skills: Mastery of Adobe Pro, Microsoft O365, G-Suite, the Internet, DocuSign, Salesforce, and other commonly used business software to support the requirements of the legal department.
- Organize workload to comply with deadlines and priorities; Work independently to complete routine functions and prepare routine correspondence, reports, and forms.
- Proofread and edit draft and final materials for appropriate, consistent format and accuracy of data; Correct punctuation, spelling and grammar.
Qualifications:
- Bachelor's or Associates degree with four or more years of previous experience as a corporate paralegal supporting the General Counsel of a publicly traded company; or
- six or more years of previous experience as a corporate paralegal supporting General Counsel of a publicly traded company.
- High-level of maturity, independent judgment and professionalism, including the ability to remain calm and productive under pressure; A positive 'can-do' attitude and strong sense of ownership over duties and responsibilities; Ability to effectively interface with various internal and external parties, including senior management and Board members.
- Able to analyze, interpret, and summarize statutes, rules, and contractual provisions
