The Corporate Development Manager will be a key contributor to all aspects of the M&A process at Kiteworks, including sourcing, valuation, due diligence, legal document review, integration planning, integration management, and post-closing value capture. This position requires a candidate with outstanding interpersonal skills, strong financial and business aptitude, and excellent analytical and modeling skills, who is comfortable communicating with C-Level executives, both internally and externally. This position reports to the Director, Corporate Development, and sits within the broader Corporate and Business Development function. This is a hybrid role based in our San Mateo, CA office; only outstanding remote (US-based) candidates will be considered.

Job Responsibilities:
- Research and identify acquisition opportunities to support the company’s growth
- Holistically screen potential acquisition opportunities for compatibility with the company’s inorganic growth strategy
- Develop and maintain detailed financial and operational models, as well as other analyses on prospective acquisition targets
- Support in outreach and communication with sellers and third-party resources; interact with sellers, sellers’ management, and sellers’ representatives/advisors
- Conduct thorough due diligence on acquisition targets, including monitoring data rooms, reviewing files provided by target company management, and leading meetings with target company management
- Manage external due diligence workstreams, including finance, tax, legal, IT, etc.
- Contribute to drafting and reviewing terms and agreements with prospective targets, including term sheets and purchase agreements
- Support integration planning and management of acquired companies, including participating in and leading functional / cross-functional projects and meetings
- Report directly, including presenting on calls and meetings, on both overall Corporate Development activity and and specific projects, to senior audiences including the CEO and executive team
- Draft written reports and memorandums on Corporate Development team activity and projects for audiences including the executive team, investors, and Board of Directors
- Proactively track relevant market developments including competitive behavior, fundraising, and investment activity
- Contribute to ongoing review and development of the company’s inorganic growth strategy (e.g., researching markets, technologies, and product-market fit)
- Proactively support and improve the Corporate Development pipeline, processes, and activities at all stages
Requirements:
- Bachelor's degree in finance, accounting, economics, or a technical field
- 4 years of hands-on M&A experience in a technology company, private equity firm, investment bank, or Big 4 transaction advisory group
- A proven record of successfully supporting transactions from sourcing through diligence, purchase agreement negotiations, signing, and closing
- Excellent oral and written communication skills and strong presentation skills
- Expertise in Microsoft Excel and advanced financial modeling with ability to dive into technical issues as needed
- Experience leading workstreams cross-functionally without formal authority
- Self-motivated and comfortable operating without direct supervision
- Software industry experience, especially at a SaaS/subscription company – a plus
- Experience in the cybersecurity, compliance, and privacy sectors – a plus
