The Legal Compliance Organization (LCO) team headquartered in Milpitas, CA and second headquarters in Ann Arbor, MI provides legal guidance to further KLA’s strategic objectives and protect and preserve the legal, ethical and financial integrity and reputation of the Company. With specific expertise in the areas of corporate law, commercial law, employment law, and intellectual property; the LCO offers strategic legal counsel that is informed by a clear understanding of the company’s business objectives and expertise in the laws and regulations relevant to the business worldwide.KLA, a Silicon Valley-based global technology company, is seeking a dedicated and collaborative attorney to support its top-notch legal team across the globe. This exciting opportunity will be based in Ann Arbor, Michigan and will primarily support the Associate General Counsel, Corporate, Securities and M&A in Milpitas, California on a variety of responsibilities including SEC filings, corporate governance, Board and committee prep, mergers and acquisitions, intercompany agreements, and subsidiary management. The role will also support, from time to time, the activities of the Chief Legal Officer located in Ann Arbor and other attorneys in the U.S. This is a tremendous opportunity to join the vibrant and growing legal team in Ann Arbor. Primary responsibilities include:
- Assist with securities filing activity (quarterly reports, annual reports, current reports, proxy statements, Section 16 filings)
- Provide support on M&A and strategic investment deal structure and issues, conduct due diligence, draft and negotiate deal documentation, coordinate deal closings, and track post-closing requirements. Also, will advise and improve M&A process and internal efficiencies
- Support subsidiary maintenance activities, including winding down subsidiaries of acquired entities
- Support corporate governance and shareholder outreach initiatives, including review and preparation of board and committee materials
- Advise business stakeholders of the relevant legal issues and risks, agreement structures, approval processes, and company policies and procedures
- Assist with other finance, tax and corporate projects that may arise from time to time
Qualifications:
- Eager, self-motivated candidate who can take the ball and run with it
- Law firm and/or in-house experience with securities, corporate and/or M&A matters desirable
- Working knowledge of commercial law, corporate governance, intellectual property, transactional and/or real estate experience helpful
- Excellent listening, communication, analytical, drafting, and problem-solving skills
- Self-starter who is curious and thrives in a dynamic team environment
- JD from accredited law school and able to practice law in Michigan
Minimum Qualifications
Doctorate (Professional) or work experience of 6 years
