We are seeking a detail-oriented and experienced Corporate Paralegal to join our legal team in Denver, Colorado. Responsibilities
- Contract Preparation, Analysis, Negotiation, and Management: Draft, analyze, negotiate, and manage contracts with vendors. Exercises independent discretion in identifying legal risks, summarizing findings, and preparing recommendations for other corporate agreements.
- Document Management: Implement and maintain legal filing systems, databases and other organizational tools.
- Corporate Governance: Draft formation documents, resolutions, maintain meeting minutes, and ensure compliance with corporate governance requirements.
- Mortgage Servicing Rights Support: Assist in preparing, reviewing, and organizing documentation related to the purchase and sale of mortgage servicing rights (MSRs), including contracts, indemnification agreements, power of attorney documents, transfer agreements, and due diligence materials.
- Legal Research: Conducts in-depth legal research and analyzes case law, statutes, and regulations to support attorneys in complex litigation and corporate transactions. Maintain knowledge of changing legal standards and ensure compliance with federal, state, and local laws relevant to the Company’s operations.
- Transaction Support: Assist with corporate transactions, including due diligence, document preparation, and closing and post-closing compliance.
- Litigation Support: Assist with discovery, document gathering, and case management for legal disputes.
- Administrative Support: Provide general administrative support to the legal department, including scheduling meetings, managing correspondence, and preparing presentations.
- Bachelor’s degree or equivalent experience in a related field
- At least three (3) years of substantive experience as a corporate paralegal, preferably in the financial services or mortgage industry.
- High level of integrity and confidentiality.
- Proactive mindset with a strong desire to learn and a willingness to take on new challenges.
- Familiarity with drafting, reading, and interpreting contracts.
- Exceptional attention to detail and organizational skills.
- Strong knowledge of corporate governance and regulatory compliance.
- Strong communication and interpersonal skills.
- Ability to multitask by managing multiple projects at the same time.
- Must be able to meet deadlines and work effectively in a fast-paced environment.
- Must be tech-savvy and have strong skills in Word, Excel, PowerPoint, and Outlook.
- Paralegal certification is preferred.
- The estimated hourly range for this position is $36.00 to $40.00. Actual base salary will be dependent on the individual’s education, experience, skills, and qualifications, as well as internal equity. This role is eligible for participation in an annual discretionary bonus program.
