Overview
An International Renewable Energy company that owns and operates utility-scale renewable energy projects is looking to grow their U.S. legal team. As the Corporate Counsel, you will play a pivotal role in the business by providing strategic guidance and oversight in M&A and project finance activities. This is an exciting opportunity for an experienced attorney to work with a dynamic and fast-paced team, providing legal guidance and support for all aspects of our business.
Responsibilities
- Project Finance:
- Negotiate and draft complex financing agreements, including debt facilities, tax equity structures, refinancings and other project finance-related documents.
- Collaborate with lenders, tax equity investors, financial institutions and internal teams to secure project funding and manage relationships throughout the financing lifecycle.
- Advise on compliance with financial covenants and regulatory requirements.
- M&A:
- Oversee legal aspects of project acquisitions and divestitures, including drafting and negotiating membership interest purchase agreements, asset purchase agreements, asset transfer agreements, and share transfer agreements.
- While using your legal expertise, you will work in tandem with the commercial team to make strategic decisions regarding the acquisition and sale of renewable energy projects.
- Other:
- Support the corporate secretary function, providing counsel to the board and its committees, to include preparing meeting agendas and materials, drafting resolutions, coordinating logistics, and drafting minutes.
- Ensure compliance with corporate governance guidelines and committee charters.
- Assist in managing outside counsel.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active bar admission and good standing in Texas.
- Must have legal experience in the renewable energy industry either at a law firm or in-house.
- Minimum of 1 year of transactional experience in the renewable energy sector.
- Exposure to M&A and project finance transactions in the renewable energy sector.
- Ability to work independently and collaboratively.
Salary : $180,000 - $240,000
