Lex Generalis (Lex) is a boutique law firm focused on servicing venture capital firms and venture capital backed businesses. Lex is based in Arizona and employs a small team that works closely with Anzu Partners to advise on transactions and firm building, and with a growing group of companies in the industrial technologies, energy transition, and life sciences spaces.
The companies Lex advises are focused on bringing to market new diagnostics for several forms of cancer, advanced capabilities for gene sequencing, energy efficiencies in lithium-ion battery manufacturing, and magnets without rare Earth elements. Lex’s team works closely with these companies to secure financing, build and defend patent portfolios, and engage in beneficial commercial agreements.
We are looking for a full-time Paralegal, who will join our team and take on responsibilities supporting both the firm and portfolio companies. This individual will work with the Anzu Team, as well as with companies, assisting with closing of equity and debt transactions, working on Fund related projects, preparing financing statements, and drafting amendments and mergers.
This position is remote.
Key Activities
- Draft and file certificate of formation, certificate of incorporation, amendments, conversions, mergers, and dissolutions, typically for Delaware but also other jurisdictions.
- Assist with closing of equity and debt transactions, including managing signature pages, aligning dates, filing final agreements, and general coordination.
- Prepare and file UCC financing statements, Blue Sky and SEC registrations, including Form D filings, Section 16 filings, Confidential treatment requests and Registration Statements.
- Manage stock option plan administration, including drafting BOD/shareholder plans, resolutions, agreements, option grant documents, and other state and federal filings.
- Manage fund administration including funding schedules to manage capital calls, maintaining fund formation checklists, and filing Certificates of Formation/Limited Partnership.
- Oversee document workflow for the funds (e.g., manage the intake of subscription agreements; update investor spreadsheet; file completed documents).
- Serve as our support corporate secretary in drafting meeting minutes for Boards of Directors for corporate books and records, audits, and other purposes.
- Manage capitalization tables, leveraging either online software (Carta) or Excel, to determine ownership levels during financing and ensure good hygiene generally.
- Coordinate conference calls and meetings within the Anzu team and quarterly updates to LPs.
- Assist with a broad range of projects related to the Fund and portfolio companies with varying degrees of complexity, adapting procedures as needed to meet business needs, managing data room, and preparing and organizing documents.
Qualifications
- Minimum of 3 years paralegal, corporate legal, or VC/PE operations experience.
- BA/BS, preferably in quantitative field; paralegal certificate a plus.
- Familiarity with business and UCC filings at the Secretary of State level.
- Experience with corporate equity (common, preferred, liquidation preference, seniority, options, warrants, etc.) and debt (secured/unsecured, promissory, convertible, etc.) structures.
- Familiarity with fund performance tracking (e.g. TVPI, RVPI, etc.) preferred.
- Experience with Dynamo (fund management software) and cap table management software (e.g. Carta and Capshare) is a plus.
- Detail-oriented with the ability to prioritize deadlines and complete work in a timely manner.
- Skilled at applying practice-related knowledge to complete projects and tasks; effectively able to identify, promote, and apply technologies to maximize efficiency in carrying out assignments.
