Job Title: Corporate Counsel II
Position Overview:We are seeking an experienced Corporate Counsel II to provide legal advice and recommendations to executives, management, and the contracts team on a variety of complex matters with significant financial impact. This role requires expertise in one or more legal specialties, combined with strong business acumen and an understanding of business goals. The Corporate Counsel will research legal principles, consult with outside counsel, draft legal documents, negotiate agreements, manage litigation, and provide guidance to external counsel and support teams in problem-solving.
Key Responsibilities:
- Advise business partners on technology infrastructure projects, ensuring compliance with applicable laws and regulations.
- Structure, draft, and negotiate technology contracts with vendors and strategic partners, including software licenses, hardware purchases, professional services agreements, consulting agreements, reseller agreements, and outsourcing agreements.
- Provide day-to-day legal support to the Company’s merchant acquiring product teams and corporate functions such as finance, accounting, business technology services, and credit/risk teams.
- Handle additional general corporate legal work as required.
Required Skills:
- Experience with technology transactions and/or product counseling.
- Knowledge of laws and regulations applicable to payment or financial services providers.
- Familiarity with privacy and data protection regulations.
- Experience advising corporate clients on legal matters.
- Ability to manage a broad variety of legal issues with flexibility.
- Excellent oral and written communication skills.
Desired Skills:
- Experience in the payments or financial services industry.
- Knowledge of information security standards and data privacy regulations.
- Experience with intellectual property counseling, including trademark and patent portfolio management.
Education & Experience:
- 3-5 years of relevant legal experience in a high-quality law firm, in-house legal position, or both.
- Member in good standing of at least one state bar.
- J.D. from a top-tier law school.
