Assistant General Counsel


Have you provided strategic legal guidance, ensuring compliance with laws and mitigating legal risks?


Can you advise senior leadership on corporate governance, oversee contracts, mergers, acquisitions, and regulatory compliance?


Do you Manage litigation, disputes, and regulatory matters while ensuring adherence to industry-specific legal requirements?


MacGregor Black are partnering with a Retail business on the search for a Assistant General Counsel. This is a permanent role based in New York.


Key Responsibilities


  • Legal Strategy & Compliance: Develop and implement legal strategies to align with business objectives while ensuring compliance with federal, state, and international laws.
  • Corporate Governance: Advise the board of directors and senior leadership on governance matters, regulatory issues, and corporate policies.
  • Risk Management: Identify and mitigate legal risks related to business operations, contracts, and regulatory compliance.
  • Contracts & Transactions: Oversee the drafting, negotiation, and review of key contracts, agreements, mergers, acquisitions, and other corporate transactions.
  • Litigation & Disputes: Manage litigation, arbitration, and regulatory investigations, including coordinating with external counsel.
  • Employment & Labor Law: Ensure compliance with labor laws, handle workplace disputes, and oversee company policies related to employee matters.
  • Intellectual Property & Data Privacy: Safeguard company assets, trademarks, patents, and data privacy compliance.
  • Regulatory & Compliance Oversight: Ensure adherence to industry-specific regulations (e.g., SEC, FDA, GDPR, HIPAA).
  • Team Leadership: Lead and mentor the legal department, including Assistant General Counsel and external legal partners.


What are we looking for?


  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience: 10 years of legal experience, including in-house counsel and/or law firm experience.
  • Proven expertise in corporate law, compliance, and risk management.
  • Strong leadership and decision-making skills.
  • Excellent communication, negotiation, and problem-solving abilities.
  • Ability to handle complex legal matters and work in a fast-paced environment.
  • Licensed to practice law in the relevant jurisdiction.
