Top firm seeks a senior associate to join its dynamic Financial Services Practice. The ideal candidate will have 4-6 years of experience in project finance. Experience consisting of “plain vanilla” project financings, tax equity bridge loans, backleverage financings and pre-NTP financings. Both Lender- and Borrower-side experience ideal. Extensive experience drafting and negotiating credit facilities, letters of credit and performance and payments bonds required. Candidate should also be familiar with, and be comfortable conducting bankability analysis of project documents, and negotiating engineering, procurement and construction contracts, balance of plant agreements, supply agreements (i.e., transformer supply agreements, module supply agreements, BESS supply agreements, turbine supply agreements and inverter supply agreements) and offtake and tolling agreements. Candidate should be able to independently negotiate and manage associated security documents (i.e., security agreements, pledge agreements, financing statements and control agreements), NY-law legal opinions, direct agreements/ consents to collateral assignments and reliance letters. Ability to independently run due diligence of project documents is a must.

Job Requirements:
- 4 to 6 years of experience in project finance (lender or borrower side).
- Extensive experience drafting PF Credit Agreements, New York law-governed Security Documents, Consents to Collateral Assignments, Legal Opinions and Project Documents (i.e., EPC Contracts, Offtake Agreements, Supply Agreements and Legal Due Diligence Reports).

The candidate must reside and be licensed or ready to become licensed to practice law in one of these jurisdictions. In accordance with the New York State Pay Transparency Law, New York City Human Rights Law, the Colorado Equal Pay Act, and the California Pay Transparency Law, the pay range for this position in New York State, New York City, Colorado, and California is $310,000 - $390,000max/yr. This range is specific to these locations and may not be applicable to other locations. An individual's actual compensation will depend on the individual's qualifications and experience.
