About the Position:

We have been exclusively engaged by our client, a large beverage distributor, in its search for a corporate M&A attorney with 3-7 years of sophisticated large law firm experience to join as Counsel in its dynamic legal group (in either its Chicago or Rosemont office). The individual in this role will report directly to the General Counsel and work with senior leadership to advise on a wide variety of legal issues, including M&A transactions, commercial contracts, managing outside counsel on litigation matters, and advising on various state and federal regulatory laws. Responsibilities:

· Assist with acquisitions by managing due diligence, negotiating terms, drafting purchase agreements, and supporting the integration of new businesses

· Provide legal guidance for company operations across multiple states

· Participate in enterprise-wide legal team meetings and initiatives, including those involving the parent company and affiliated businesses

· Understand and support full range of regulatory compliance and ethics affairs. Stay up to date and advise the company on various state and federal regulatory changes and requirements regarding the distribution of alcoholic beverages.

· Draft, review, and negotiate a variety of agreements, such as alcoholic beverage distribution and vendor contracts

· Work with human resources and internal or external counsel to address employee-related legal issues

· Coordinate material litigation with key stakeholders including litigation holds and participation in claim reviews

· Review and support internal and external communications, such as social media, crisis management, and customer/supplier communications

· Develop and implement policies to support business operations, including the creation of training materials

Required Qualifications:

· 3-7 years of large law firm corporate/M&A experience

· Experience drafting and negotiating transactional documents relating to M&A deals, including purchase agreements

· Experience drafting and negotiating a variety of sophisticated commercial contracts and agreements

· Strong academic credentials

· Excellent verbal and written communication skills

· Ability to prioritize tasks and work effectively in a fast-paced environment

Compensation:

The anticipated base salary range for this position is $180,000 - $230,000.
