Job Description:
The Director of Legal at Meade Engineering will lead the legal and compliance functions for our multidisciplinary design engineering firm, which specializes in MEP (Mechanical, Electrical, and Plumbing), commissioning, and a broad spectrum of project types, with a strong emphasis on data center design and other complex projects. This role ensures the firm navigates legal challenges while supporting innovation, growth, and operational excellence. The Director of Legal will manage legal aspects of mergers and acquisitions (M&A), intellectual property (IP), and risk management, while enabling the firm's expansion into national and international markets.
Job Duties:
- Provide legal counsel on operational and strategic initiatives across diverse disciplines, including MEP design, commissioning, and specialized project types.
- Advise on the legal implications of complex engineering projects, including high-stakes data center design, and ensure compliance with all applicable laws.
- Develop and implement legal frameworks to support the firm's growth across national and global markets.
- Lead all legal aspects of M&A activities, including due diligence, deal structuring, negotiation, and post-acquisition integration.
- Provide strategic advice on potential acquisitions, partnerships, and joint ventures to support business diversification and expansion.
- Develop risk mitigation strategies specific to M&A transactions in multidisciplinary and international contexts.
- Safeguard the firm's innovations and designs, including patents, trademarks, copyrights, and trade secrets, across diverse disciplines.
- Manage IP licensing agreements, enforce protections against infringement, and support the development of proprietary technologies and methodologies.
- Draft, review, and negotiate a wide range of contracts, including those for large-scale projects, vendor agreements, client engagements, and employment terms.
- Monitor and ensure compliance with all relevant regulations, including those related to construction, engineering, commissioning, and data center design standards.
- Identify and manage legal risks related to complex, multidisciplinary projects, including high-value data center designs.
- Oversee claims, disputes, and litigation, coordinating with external counsel to protect the firm's interests.
- Ensure adherence to best practices in corporate governance, including managing board resolutions, shareholder agreements, and multi-jurisdictional corporate filings.
Minimum Qualifications:
- 10 years of legal experience, with significant focus on M&A, intellectual property, and compliance for multidisciplinary or technical industries.
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in the state of Arizona or eligibility to be admitted as in-house counsel.
- Experience in design engineering, construction, technology, or data center sectors is highly desirable.
- Expertise in M&A, including due diligence and negotiation.
- Strong knowledge of IP law, global business operations, and complex project contracts.
- Exceptional analytical, negotiation, and leadership skills.
- Ability to navigate and manage legal challenges across multiple disciplines and jurisdictions.
- Experience working in an MEP or multidisciplinary engineering firm.
- Familiarity with commissioning, data center design, or similar technical fields.
- Experience managing legal frameworks for firms engaged in international expansion.
