Assistant General Counsel - Transactions
Midwest Holding LLC, a rapidly growing financial services holding company, seeks a highly analytical, hands-on, and energetic team player to join us as an Assistant General Counsel specializing in transactions. We operate as a modern insurance holding company focused on long-term growth. Our core business is executed from three key subsidiaries: American Life, a Nebraska-based annuity carrier, 1505 Capital, a New York-based registered investment adviser and Seneca Re, a Vermont-based captive reinsurer.
Summary/Objective
The Assistant General Counsel works directly with the Deputy General Counsel, ultimately reporting to the firm’s General Counsel, and will be crucial in supporting the company's key business units. This individual will be involved primarily in aspects of the company’s affairs affecting investments, reinsurance, regulatory compliance, and general corporate matters.
Essential Functions
· Provide well-supported and timely legal guidance on a broad array of matters, primarily with reinsurance transactions but also including private credit and commercial real estate investments, and general corporate governance.
· Draft, negotiate, and review legal documents, including but not limited to, investment management agreements, credit agreements, loan participations, reinsurance agreements, vendor contracts and general policies (e.g., privacy policies, data security policies, etc.).
· Provide legal advice and support in relation to the regulatory compliance of investment activities, including with respect to the Investment Company Act, the Investment Advisers Act, and other applicable securities laws.
· Support the development and maintenance of the firm’s compliance program related to its insurance and investment advisory businesses.
· Collaborate effectively with external counsel where necessary.
Required Education and Experience
The following experience is required:
· Juris Doctor (J.D.) degree from an accredited law school is required.
· A minimum of one year of experience as an associate at a nationally recognized law firm.
· Must have experience drafting and negotiating complex legal documents.
· Good working knowledge of general corporate law.
· Comprehensive knowledge in one or more relevant practice areas, including:
o Corporate finance and lending
o Reinsurance
o Private credit
o Corporate real estate
o Mergers and acquisitions
o Regulation of investment advisers
· Valid bar admission in NY, DE or other U.S. jurisdiction.
Preferred Education and Experience
The ideal candidate will also have the following experience:
· Experience as an associate at an AmLaw 100 firm.
· Regulatory or transactional experience with insurance and/or reinsurance companies.
· Corporate governance experience.
· Experience interacting with clients and other senior personnel.
· Experience managing external legal counsel is desirable.

Work Environment
The legal team is spread across several states and supports business units in Nebraska and New York. As such, the position is hybrid and will involve significant remote work as well as some required attendance at our offices in New York, NY and Lincoln, NE. We expect all legal personnel to be highly self-motivated and to conduct themselves in a highly professional manner. This includes turning documents in a timely fashion and being responsive during working hours and after hours on occasion.
This is a full-time position, with typical business hours of 9 a.m. to 5 p.m., Monday-Friday. Additional hours may be required during peak periods or to meet deadlines. The Assistant GC may need to be available occasionally for on-call support outside of regular business hours in case of urgent matters.
Supervisory Responsibility
This position does not have any direct reports. However, the Assistant GC will need to work well with paralegals and other regulatory and compliance professionals and also provide firm-wide leadership on various legal issues on behalf of the legal department.
