What are the responsibilities and job description for the Private Funds Attorney / Counsel position at Milshar, LLC?
Our Private Equity Group is seeking to hire a mid-level associate to senior-level / counsel to join our (Midtown Manhattan) New York City office.
The ideal candidate will have 3 - 12 years (classes 2013 - 2022) of experience representing closed-end private investment fund managers, which may include private equity, venture capital, or funds-of-funds. Experience with fund formation, offering and closing processes for private funds, and private equity transactions is a plus.
The associate must have the ability to draft and negotiate Private Placement Memorandums (PPMs), partnership agreements, investment management agreements, and subscription agreements; negotiate assignment and assumption agreements; perform investor-side fund reviews and negotiate side letters. Working knowledge of the Securities Act and Investment Advisers Act is also a plus.
Superior academic credentials and excellent verbal, written, and interpersonal skills are required. New York State Bar is required.
All candidates must be in the top 25% of their graduating class and graduate from one of the top 50 U.S. law schools. Candidates must have worked for a well-known law firm unless noted otherwise in the job description.
