Senior Corporate Paralegal Job Description
Monroe Moxness Berg is a boutique Minneapolis law firm and has an immediate opening for a Senior Paralegal in its Corporate practice group. Our Corporate practice handles a variety of corporate matters for large and small companies, including entity governance matters and merger and acquisition transactions for emerging and established regional and national companies. The Corporate Paralegal responsibilities would include preparing, reviewing, analyzing & organizing documents in connection with the formation and ongoing maintenance and governance of corporations, limited liability companies, and limited partnerships and as well as handling a wide range of corporate matters, such as mergers and acquisitions and financing transactions. The person in this position will also be responsible for preparing and making corporate filings as well as performing legal research.
Paralegal Responsibilities
- Assist with entity formation, including checking corporate name availability, reserving corporate names, and preparing drafts of corporate organizational documents; assist with ongoing operations of corporations and corporate records maintenance; prepare foreign qualifications, withdrawals, and dissolutions. Obtain federal identification numbers. Maintain compliance calendar. File annual renewals, registrations, reports for domestic and foreign entities; and amendments to the same. Prepare & send emails reminding clients regarding state reports coming due to maintain active / good standing status. Prepare, obtain signatures & file Form 2553 (s-election) with IRS. Work with clients on preparation of Form 1023 (tax exempt status).
- Perfection of Security Interest under the Uniform Commercial Code (UCC) : Prepare and file standard UCC financing, continuation and termination statements; initiate and analyze UCC search results; research filing requirements in various states and calendar expiration dates for UCC-1 filings.
- Prepare and file documents and forms for ongoing corporate operations, including amendments to formation documents, by-laws, operating agreements, miscellaneous directors’ and shareholders’ member resolutions, and applications for authority to do business out of state. Organize, review and maintain entity records.
- Work with various service companies and governmental agencies, including Secretaries of State, Department of Corporations, and SEC to file and retrieve documents.
- Responsible for adhering to the Firm’s document management and retrieval systems.
- Corporate Transparency Act (CTA) includes being a member of the firm’s CTA committee, gathering information / documents to submit BOIR reports, file BOIR reports, prepare engagement letters, work with MMB personnel to obtain FINCEN numbers, and prepare / draft checklists, transmittal documents, spreadsheets for review / approval by CTA committee.
- Administrative work may include acting as a liaison with third party provider contacts (e.g., CSC, CT Corporation); make sure those that need access to websites get set up with logins / passwords; follow up with attorneys regarding outstanding work, projects, and documents.
- Transactional work may include prepare Written Actions; review diligence for loan transactions; review leas documents for loan transactions and summarize, prepare closing checklist and maintain same through loan transaction closing; Email & phone communications with loan closers and work closely with same throughout the transaction; prepare closing instruction letters for loan transactions; draft loan documents based on client approved documents; and prepare schedules for sale transactions.
Education and Experience
7-10 years of law related experience. Bachelor’s degree preferred; however, a certificate from an accredited (e.g., ABA) paralegal program and commensurate experience will also be considered.
Supervisory Responsibilities
None. However, the person in this position is expected to act in an advisory capacity to newer attorneys and support staff.
