Key Responsibilities
- Prepare and manage corporate entity documentation, including formations, qualifications, amendments, dissolutions, withdrawals, and liquidations.
- Draft and maintain minutes and consents for shareholder and board meetings.
- Assist with legal transactions, including mergers, conversions, reorganizations, share issuances, and securities filings.
- Prepare and file applications and renewals for licenses, assumed names, reinstatements, and annual reports.
- Conduct public record searches and due diligence to support corporate transactions.
- Coordinate signatures and closing deliverables, ensuring completion of post-closing tasks.
- Manage entity compliance with the Corporate Transparency Act and prepare Beneficial Ownership Information Reports for FinCEN.
- Submit apostille requests and support corporate acquisitions, financings, and other transactions.
- Maintain entity management programs and extranet sites for document organization.
- 5 years of paralegal experience in a law firm or corporate legal department. Paralegal certificate required; bachelor’s degree preferred.
- Strong background in corporate law, including entity formation, corporate governance, and securities filings.
- Experience filing documents with Secretaries of State (UCCs, articles of incorporation, amendments, qualifications, and withdrawals).
- Knowledge of IRS filings (SS-4s, S-Elections, 1023s, and 8832s).
- Familiarity with FinCEN ID registration and Corporate Transparency Act compliance.
- Current NC Notary Public commission preferred.
- Proficiency in Microsoft Office Suite, Adobe, and entity management programs.
- Exceptional organizational skills, attention to detail, and ability to manage multiple priorities in a fast-paced environment.
- Strong problem-solving, decision-making, and critical thinking skills.
- Outstanding interpersonal, written, and verbal communication skills.
