Position Summary
The Paralegal will provide general corporate and transactional support to attorneys across multiple office locations and will interact with external clients as well as internal support staff.
The Corporate Paralegal position is a nonexempt administrative position that reports to the Office Administrator and assigned attorneys. There are no direct reports to this position. The Paralegal will work a regular full-time schedule of 7.5 hours a day, equivalent to 37.5 hours a week as determined by the Office Administrator / HR and / or the assigned attorneys.
Primary Duties and Responsibilities
- Administer and prepare documents to effect entity formations, qualifications, amendments, dissolutions and withdrawals, and liquidations, and to document minutes and consents for shareholder and board meetings.
- Assist with the preparation of documents to effect mergers, conversions, reorganizations, share issuances and similar transactions, including stock certificates and powers, subscription / shareholder agreements, resolutions, etc.
- Prepare and file applications and renewals for Licenses, assumed names, reinstatements and online annual reports.
- Support attorneys on corporate transactions, including public record searches and other due diligence support, coordination of signatures and closing deliverables, assembly of final documents and ensuring post-closing tasks are accomplished.
