Associate General Counsel

Location : JOB SUMMARY
This position provides corporate legal services to the National Trust and its for-profit and nonprofit subsidiaries. The Associate General Counsel will advise on a wide range of legal matters, including corporate governance, regulatory compliance, contracts, risk management, and business transactions. The Associate General Counsel may also provide other general legal services to the organization as assigned. The Associate General Counsel reports to the Deputy General Counsel.
DUTIES
Corporate Legal Services. The Associate General Counsel will provide legal counsel and strategic guidance on corporate governance, regulatory compliance, risk management, and business operations, including to the National Trust’s subsidiaries.
- Draft, review, and negotiate contracts, private and governmental grants, agreements, memoranda, policies, and other work products.
- Conduct corporate governance responsibilities, including drafting resolutions, meeting minutes, and record-keeping.
- Support business transactions by providing detailed legal review of documents and establish project specific entities.
- Ensure legal and regulatory compliance with federal, state, and local laws affecting nonprofit and for-profit entities.
- Assist in developing and implementing internal policies and procedures.
- Work closely with the organization’s insurance provider to review and prepare annual policy renewals, track ongoing insurance claims and other issues, respond to staff regarding insurance questions, and gather information for insurance audits.
- Track and monitor annual business registration issues with third-party registration vendor.
- Resolve claims and disputes; and if necessary, assist in litigation to advance or defend the interests of the National Trust and / or its subsidiaries and affiliates.
- Coordinate with external counsel on special legal matters as needed.
- Work independently with minimum supervision from the Deputy General Counsel and other staff.
Education and Outreach. Participate in public outreach relating to legal issues associated with the position’s duties.
QUALIFICATIONS
PAY & BENEFITS
This is a full-time, exempt level position, eligible for full benefits, including health, dental and life insurance, retirement benefits, paid parental leave, and 3 weeks of vacation, plus sick time and holidays.
Hiring Range : $105,000 - 115,000 per year
