Our well-established North Carolina law firm with a tremendous team approach and culture continues to grow and we are seeking an enthusiastic, success-driven, and team-oriented attorney licensed in North Carolina with 3 years of experience in business and corporate law for the position of associate attorney.
The ideal candidate will have:
- J.D. from a top-tier law school and bar admission required;
- 3 years’ experience in corporate/business law;
- Outstanding writing, research, and interpersonal/communication skills;
- Strong attention to detail;
- Experience with entity formations, corporate governance documents, loan documents, contract review, negotiation, and legal document drafting;
- Prior M&A and/or commercial real estate law experience is a significant “plus”;
- Excellent business acumen and client service;
- Desire to be a part of a team and work collegially with all team members is a must;
- Dedication to delivering the highest quality work-product and client experience.
Responsibilities Include, without limitation, the following:
- Regularly preparing and drafting a variety of complex legal documents including, without limitation, corporate and governance documents, transactional documents such as purchase agreements, bills of sale, schedules & exhibits, and various commercial contracts;
- Research, provide legal analysis, and develop strategies to address client questions and needs;
- Hands-on client interaction including, without limitation, consultation calls, regular client communications via email, telephone, and in-person meetings, providing counsel and advice, walking through and revising contracts, and key transactional and corporate documents;
- Negotiate and implement business terms in a variety of commercial matters including, without limitation, purchase agreements, employment agreements, commercial leases, and service agreements;
- File and manage applications for trademark with the USPTO;
- Assist in the handling and management of client matters;
- Participate in business development activities;
- Ensure compliance with all legal standards, applicable laws, regulations, and company policies across areas of organizational responsibility.
Office and Compensation Summary:
The position will be carried out via a hybrid office and work-from-home environment. Fully remote may be considered. We currently have offices in Cary, Raleigh, Greensboro & Wilmington, NC.
Compensation package is based on experience and related factors and includes extremely competitive benefits with health insurance, 401k match, and others.
