Reporting to the CEO, the primary mission of the Corporate Counsel is to represent the company in installation and service-related disputes, including contract disputes, claims for damages and regulatory issues. Responsible for risk management, general liability claims, insurance procurement, the regulatory licensing and permitting process, contract review and negotiations. With a collaborative approach, you will partner with our business leaders to advise and direct on contractual rights and responsibilities. The individual in this role should be comfortable working across an organization with centralized and decentralized resources. This is a hybrid position with ability to work remotely 2 days per week.
RESPONSIBILITIES :
- Draft, review, and negotiate contracts, agreements, settlement agreements, environmental restrictive covenants, and other commercial documents and contracts as requested by the business.
- Resolve pre-litigation disputes with contractors, field partners (subcontractors), other business partners, etc.
- Advise install and service managers on contractual rights and obligations regarding underperformance by field partners and help to document and manage the process
- Creation of a standardized set of policies and procedures surrounding contract lifecycle management, payments, lien releases, supplemental work, approval processes, etc.
- Advise stakeholders on appropriate course of action regarding contracts, regulatory requirements, and other situational specific factors
- Ensure compliance with federal, state, and local statutory and regulatory requirements to include managing the state and local licensing and permitting process.
- Oversee and manage all worker’s compensation claims, ensuring timely and appropriate handling
- Directing the management of general and automobile liability claims across the company, ensuring proper investigation, documentation, and resolution.
- Coordinate with other leadership team members and third-party administrators to mitigate risk and reduce claims cost.
- Conduct periodic reviews of insurance policies to ensure adequate coverage and negotiate renewals.
- Provide strategic insights into market trends to enhance the company’s risk mitigation strategies.
- Identify potential areas of risk across the company’s operations, such as safety hazards, compliance gaps, emerging risks, etc. and develop and implement risk mitigation strategies, policies, and procedures to minimize exposure.
- Conduct regular risk assessments and audits to ensure compliance with company policies and regulatory requirements.
