Healthcare Transactional Partner – M&A (New Jersey)
Our client, a prestigious law firm recognized for its collaborative and innovative approach, is seeking a Healthcare Transactional Partner (10 years) with a specialization in healthcare mergers & acquisitions (M&A). This is an exciting opportunity for a highly experienced attorney to lead complex healthcare transactions, provide strategic regulatory guidance, and play a key role in the firm’s growing healthcare practice.
Key Responsibilities:
- Lead healthcare M&A transactions, including joint ventures, partnerships, employment arrangements, management agreements, and lease agreements
Draft, negotiate, and review a wide range of corporate and transactional documents, including:
- Operating agreements
- Management agreements
- Employment and independent contractor agreements
- Purchase agreements
- Leases
- Billing services agreements
Provide strategic counsel on healthcare regulatory issues, including:
- Stark Law and Anti-Kickback Statute
- ERKA, corporate practice of the profession, and fee-splitting laws
- Fraud and abuse concerns in healthcare transactions
- Collaborate with clients and internal teams to navigate legal complexities and deliver pragmatic, business-focused solutions
Qualifications:
- Juris Doctor (JD) from an accredited law school
- Active Bar admission in New Jersey (NY admission is a plus)
- Minimum of 10 years of experience in healthcare transactional law with a proven track record in M&A, regulatory compliance, and contract negotiation
- Extensive knowledge of healthcare laws and regulations, including Stark Law, Anti-Kickback Statute, ERKA, corporate practice restrictions, and fee-splitting laws
- Proficiency in Microsoft Office and experience with accounting and document management software
- Experience with electronic documentation and e-discovery matters
- Strong commercial/business acumen with a demonstrated ability to offer creative, business-focused legal solutions
- Excellent interpersonal, communication, and writing skills, with outstanding academic credentials
- Ability to handle high-pressure, complex legal matters while meeting deadlines with precision
