Our client, a highly regarded law firm, is seeking an experienced Corporate Senior M&A Attorney with 5 years of sophisticated experience in M&A transactions, corporate governance, and commercial law. This is an excellent opportunity for a motivated and business-savvy attorney to play a key role in advising clients on complex M&A transactions, ensuring legal compliance, and providing strategic counsel in collaboration with an established corporate team.
Key Responsibilities:
- Provide expert legal counsel on a wide range of corporate and commercial matters, including business formations, governance, compliance, contracts, and M&A transactions
- Manage the full lifecycle of M&A transactions, from due diligence through post-closing integration
- Draft, review, and negotiate key transaction agreements, including: Purchase agreements, Shareholder agreements, Merger agreements.
- Oversee and maintain transaction documents and agreements, ensuring a comprehensive legal record
- Work closely with clients and internal teams to align legal strategies with business objectives
- Collaborate with cross-functional teams to provide comprehensive legal services to corporate clients
Qualifications:
- Juris Doctor (JD) from an ABA-accredited law school
- Bar admission in New Jersey (NY admission is a plus)
- Minimum of 5 years of sophisticated corporate/M&A experience, preferably in a BigLaw or reputable corporate law firm
- Exceptional negotiation, drafting, and communication skills
- Highly self-motivated with strong analytical and critical thinking abilities
- Ability to work under pressure, manage multiple projects, and meet strict deadlines
- Strong commercial and business acumen, with a focus on providing practical, client-focused solutions
- Excellent interpersonal skills, with a proven ability to build and maintain strong client relationships
- Team-oriented mindset, with the ability to collaborate and lead when necessary
- Proficiency in Microsoft Office and experience with document management and accounting software
