The salary range in CA for this role is $120,000 - $170,000 and represents the firm’s good faith minimum and maximum range for this role at the time of posting. The actual compensation offered to a candidate will be dependent on a variety of factors including, but not limited to, the candidate’s experience, qualifications, and location.

O’Melveny is actively seeking for a Senior Corporate Paralegal. This role can be based out of any of our West Coast offices.
The salary range in CA for this role is $120,000 - $170,000 and represents the firm’s good faith minimum and maximum range for this role at the time of posting. The actual compensation offered to a candidate will be dependent on a variety of factors including, but not limited to, the candidate’s experience, qualifications, and location.
Essential Duties And Responsibilities
- Prepare, draft, and file formation and qualification documents for corporations, limited liability companies, and partnerships.
- Assist with drafting documents necessary at all stages of a corporate transaction, including those related to preferred and debt financings, mergers & acquisitions, and corporate dissolution.
- Facilitate and support the lifecycle of a transaction, including tracking signatures and deal deliverables, taking ownership of transaction documentation, managing closing documentation, handling closing mechanics, and issuing stock certificates.
- Liaise with clients to facilitate the deal process.
- Prepare and manage company data rooms in connection with corporate transactions.
- Maintain corporate minute books and draft bylaws and company records, including board/member consents and resolutions.
- Conduct Blue Sky securities compliance research with state jurisdictions and SEC with respect to security issuances and company equity grants.
- Conduct lien searches at state and local levels.
- Conduct litigation searches at federal and local levels.
- Prepare and file UCC financing statements, including related exhibits.
- Record assignments and security agreements with the US Copyright Office.
- Obtain SEC access codes for clients.
- Coordinate authentication of documents for use abroad, including Hague Convention and non-Hague Convention nations.
- Minimum 10 years of progressive responsibility in managing corporate transactions in a large law firm or professional services environment, with law firm experience strongly preferred
- Four-year degree or equivalent required
- Paralegal certification highly preferred or required, depending on jurisdiction
- Familiarity with UCC financing statements, filing components by jurisdiction, procedures, and lien searches
- High level of proficiency with technology including DocuSign, Microsoft Office Suite applications, Adobe Acrobat, and other Corporate records filing and transaction databases, and other internet research tools
- Excellent organizational skills, attention to detail, and the ability to multi-task
- Highly effective written and oral communications
- Creative problem-solving abilities and analytical skills
- Work independently, taking initiative to move projects to conclusion
- Maintain professional demeanor in stressful situations
- Reliable and dependable team player
- Maintain confidentiality of client information
