Position Summary
Odyssey seeks an experienced and dynamic Executive Director of Contracts and Compliance to lead our contracts and corporate compliance functions. This pivotal role will ensure the effective management of all contractual matters, from negotiation to closeout. It will drive adherence to the Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and other relevant compliance frameworks. The successful candidate will deeply understand the intricacies of Advisory and Assistance Services (A&AS) and Systems Engineering and Technical Assistance (SETA) contracting, combined with strong leadership capabilities and extensive personnel management experience.
Responsibilities
Duties include, but not limited to:
- Contracts Management:
- Oversee, direct, and support all contract lifecycle activities, including proposal development support, negotiations, administration, and closeout.
- Ensure compliance with FAR, DFARS, and other applicable regulations for all government contracts and subcontracts.
- Provide expert guidance on the interpretation and applicability of contractual clauses and terms, particularly in relation to A&AS and SETA contracts.
- Lead the review, negotiation, and risk assessment of contractual documents to ensure alignment with company objectives and regulatory requirements.
- Develop and implement contract management strategies that mitigate risk and drive operational efficiency.
- Serve as the primary interface with legal counsel on complex contractual issues and provide strategic oversight and guidance to Odyssey team when interfacing with government contracting officers.
- Monitor contract performance and enforce compliance with all terms and conditions.
- Corporate Compliance:
- Direct and oversee the corporate compliance program, ensuring the company adheres to all applicable laws, regulations, and ethical standards.
- Develop and maintain corporate policies and procedures in alignment with regulatory changes and company goals.
- Oversee and administer the portfolio of corporate insurance policies.
- Manage corporate registrations and ensure compliance with annual reporting requirements.
- Conduct internal audits and compliance reviews to identify and address potential risks.
- Collaborate with internal stakeholders to develop training programs that promote a culture of compliance and ethical business practices.
- Lead investigations and resolution of compliance-related issues.
- Report to senior leadership and the Executive Leadership Team on the status of corporate compliance efforts.
- Oversee all International Traffic and Arms Regulation (ITAR) activities to ensure compliance. Work closely with staff to ensure compliance with export/import laws and regulations.
- Leadership and Personnel Management:
- Provide leadership, mentorship, and strategic direction to the Contracts and Compliance team and foster a collaborative and growth-oriented environment.
- Oversee workforce planning, performance management, and professional development initiatives.
- Promote cross-departmental collaboration to ensure contract and compliance functions are integrated into broader company operations.
Qualifications
Citizenship: Must be a US citizen Minimum Required QualificationsClearance: Ability to Obtain Top Secret Education: Bachelor’s degree in Business Administration, Contract Management, Law, or a related field.Years of Experience: Over 15 years of direct contract management experience in the defense industry and at least 10 years of personnel management experience. Preferred QualificationsClearance: Active Top Secret Education: Master’s degree or Juris DoctorCertifications: NCMA (National Contract Management Association) Certification (CPCM, CFCM) or equivalent. Technical Skills
- Demonstrated strategic business acumen and the ability to solve complex challenges through rigorous, logical approaches
- Extensive knowledge of FAR, DFARS, and other government contracting regulations, with expertise in A&AS and SETA contracts, requires the ability to navigate formal and informal organizational networks effectively.
- Demonstrated success in overseeing corporate compliance functions within the defense contracting environment, addressing challenges with courage, decisiveness, and a commitment to maintaining high standards.
- Experience working with classified contracts and security requirements is preferred.
- Familiarity with the complexity of contracts supporting OCONUS locations and their associated contracting complexities is preferred.
