In this role, you will provide legal support on various corporate legal matters, with a focus on securities law and corporate governance matters. Requirements
What We’re Looking For:
- Juris Doctor (J.D.) from an accredited law school; admission to practice law in New York State or another relevant jurisdiction.
- 7- 10 years of legal experience, with significant time spent in a public company or a background including both law firm experience & a corporate legal department.
- Knowledge of and experience practicing in the Securities Act of 1933, the Securities Exchange Act of 1934 Act, Schedule 14A, Regulations S-K and S-X, NYSE rules, corporate governance, and New York (and Delaware) corporate law(s).
- Knowledge of and experience in mergers and acquisitions, capital markets and other transactions.
- Experience with public company SEC reporting documents and disclosure drafting
- Strong ethics and integrity
- Support the legal team with securities law matters, including SEC filings, compliance, and disclosure requirements
- Assist with capital markets transactions, mergers and acquisitions, and strategic transactions, including conducting due diligence, reviewing contracts, and assisting with disclosure documents
- Help prepare and review SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 reports
- Draft and review commercial agreements including software licenses, employment agreements, and procurement agreements
- Support corporate governance matters, including preparing Board and Committee materials and reviewing policies
- Collaborate with internal clients to support business objectives while minimizing legal risk

Compensation Range: $170K - $200K
