What We’re Looking For:

Expertise
- In-depth knowledge of and experience practicing in the Securities Act of 1933, the Securities Exchange Act of 1934 Act, Schedule 14A, Regulations S-K and S-X, NYSE rules, corporate governance, and New York (and Delaware) corporate law(s).
- Strong knowledge of and experience in mergers and acquisitions, capital markets and other transactions.
- Excellent leadership, communication, and people skills.
- Ability to work effectively in a fast-paced, dynamic environment and manage multiple priorities.
- Superior analytical and writing skills.
- High level of integrity, sound judgment, and a strategic mindset.
- Strong business and financial acumen.
- Ability to drive results, offer informed and collaborative solutions, and build strong relationships with internal and external stakeholders.
Regulatory and Corporate Governance
- Ensure compliance with SEC laws and regulations, NYSE rules, and other applicable laws.
- Assist with the preparation and review of board materials, including meeting agendas, minutes, and resolutions.
- Assist with the Company’s corporate governance practices, including shareholder relations and annual meetings.
- Monitor and advise on changes in laws and regulations that could impact the Company’s business operations and strategies.
- Provide legal support for mergers and acquisitions, capital markets and financing transactions, and other strategic initiatives.
- Negotiate, draft, and review complex contracts and agreements, ensuring alignment with the Company’s strategic objectives.
