Position Description

PAR Technology Corporation is seeking an Associate General Counsel, Securities & Corporate Governance to join its growing Legal Team. In this role, you will provide legal support on various corporate legal matters, with a focus on securities law and corporate governance matters.

Remote USA (EST & CST time-zone based candidates)

Requirements

What We’re Looking For:

Education: Juris Doctor (J.D.) from an accredited law school; admission to practice law in New York State or another relevant jurisdiction.

Experience: Minimum of 15 years of legal experience.

Expertise

• In-depth knowledge of and experience practicing in the Securities Act of 1933, the Securities Exchange Act of 1934 Act, Schedule 14A, Regulations S-K and S-X, NYSE rules, corporate governance, and New York (and Delaware) corporate law(s).
• Strong knowledge of and experience in mergers and acquisitions, capital markets and other transactions.

Unleash your potential: What you will be doing and owning:

Regulatory and Corporate Governance

• Ensure compliance with SEC laws and regulations, NYSE rules, and other applicable laws.
• Assist with the preparation and review of board materials, including meeting agendas, minutes, and resolutions.
• Assist with the Company’s corporate governance practices, including shareholder relations and annual meetings.
• Monitor and advise on changes in laws and regulations that could impact the Company’s business operations and strategies.
  
  

Transactional Support

• Provide legal support for mergers and acquisitions, capital markets and financing transactions, and other strategic initiatives.
• Negotiate, draft, and review complex contracts and agreements, ensuring alignment with the Company’s strategic objectives.

Compensation Range: $220K - $280K
