Job Summary: We are seeking an experienced Contract Attorney to assist with legal matters related to our LLC operations and provide probate law expertise. The ideal candidate will have a strong understanding of both business law and probate, with the ability to provide actionable legal advice in a fast-paced, dynamic environment.

Responsibilities:

· Draft, review, and negotiate contracts and agreements with Contract Sales Manager (e.g., vendor contracts, client agreements, non-disclosure agreements).

· Advise on corporate governance matters, including member agreements, LLC structure, and internal policies.

· Ensure compliance with applicable federal, state, and local laws and regulations.

· Assist in dispute resolution and litigation support if needed.

· Provide legal guidance on intellectual property, employment law, and other business-related legal issues.

· Draft and review wills, trusts, and estate planning documents.

· Assist in the probate process, including petitioning the court, representing the LLC, and ensuring proper distribution of assets.

· Handle contested and uncontested probate matters, including the administration of estates and trusts.

· Guide LLC through the probate process, including tax implications and creditor claims.

Qualifications:

· Must reside in Houston Harris County, Texas or surrounding areas.

• Juris Doctor (JD) degree from an accredited law school.
• Active bar membership in Harris County- Houston, TX.
• Proven experience in business and contract law, particularly with LLCs.
• Strong experience in probate law, including estate planning and administration.
• Strong analytical, negotiation, and communication skills.
• Ability to work independently and manage multiple tasks with deadlines.
• Previous experience in a contract attorney or in-house counsel role preferred.

Preferred Qualifications:

· Analytical mindset with the ability to track and optimize performance metrics.

· Experience managing federal and state grants, including compliance and reporting.

Duration: This is a contract-based position, with the potential for extension based on business needs.
