Responsibilities
- Create, manage and administer corporate governance, real estate and other legal documents.
- Provide support in drafting a variety of agreements and legal documents from template: service contracts, leases, construction agreements, and others.
- Manage and administer yearly renewal processes for property level licenses and certifications.
- Support all legal aspects of disposition, acquisition and financing activity and other strategic initiatives, including due diligence, preparation of acquisition/closing agreements/schedules and other documents, closing mechanics and post-closing integration and administration.
- Contract administration and organization in database; partner with IT to create efficient contracts management process.
- Maintain and update governance charts/spreadsheets.
- Maintain closing binders for transactions (real estate; estate planning transactions; promissory notes/loans, etc.).
- Process, organize and maintain digital and hard copies of all contracts.
- Provide project management and deadline tracking for a variety of projects that involve the legal department.
- Support management of all litigation matters.
- Legal and other research as needed.
- Strict adherence to company policies and guidelines, compliance laws, and legal requirements.
- Assist with all legal billing and invoicing.
- Perform other related duties and special projects as assigned.
Qualifications
- Minimum of 5 years of paralegal and transactional experience.
- Knowledge of principles, policies, verbiage, and practices relating to commercial real estate transactions and corporate governance.
- Proficiency in Microsoft Outlook, Word, Excel, Adobe and PowerPoint.
- Excellent communication (verbal and written) skills.
- Excellent interpersonal skills, flexibility, and project coordination experience.
- Must be comfortable working independently in a fast-paced environment and also as part of a team. Must demonstrate reliability, flexibility, strong work-ethic, collaboration, and cooperation with team
- Be able to accept and adapt to feedback and change.
- Take ownership and demonstrate clear leadership of assigned tasks and projects.
- Pro-active, solutions-oriented mindset with a strong focus on meeting deadlines.
- Ability to maintain discretion and confidentiality with highly sensitive information.
- Experience with document management and corporate administration software preferred
- Strong ability to multi-task.
- Strong organizational skills, strong attention to detail, and good time management skills are all required competencies.
- Bachelor’s Degree and/or Paralegal Certificate.
