Position Title: Corporate Paralegal - Remote Work Position
Position Summary: The Corporate Paralegal will serve as a key member of the Company’s Legal Department and will primarily assist with wide range of legal and administrative support, including contract management, corporate governance, compliance, and day-to-day operational tasks. Additional responsibilities will include assisting in the preparation, review, and organization of contracts for submission into the company’s eventual transition into a Contract Lifecycle Management (CLM) system. Duties:
- Legal & Administrative Support:
- Provide legal & administrative support to the Precinmac Legal Team by conducting legal research and summarize findings on various topics relevant to the company’s operations.
- Assist in the preparation, filing, and maintenance of corporate governance documents, including board resolutions and meeting minutes.
- Support regulatory compliance efforts by maintaining up-to-date records and assisting with filings.
- Maintain Corporate Data Sheets with accurate and updated company information.
- Manage and track state-by-state company registrations, ensuring compliance with filing and renewal requirements.
- Calendar certification deadlines, including representations and certifications renewals, and coordinate timely filings.
- Play a support role to the Commercial team by assisting with legal-related surveys, proposal requests and compliance certifications.
- Manage legal correspondence, including drafting letters, responding to routine inquiries, and tracking deadlines.
- Organize and maintain legal department files, both physical and electronic, ensuring compliance with document retention policies.
- Maintain and manage the legal department’s calendar, tracking key contract deadlines, compliance filings, and litigation-related dates. Schedule internal and external meetings for the legal team.
- Ensure proper organization, indexing, and archiving of legal documents, contracts, and compliance records, maintaining adherence to the company’s document retention policies.
- Process invoices for outside counsel and legal service providers, track legal expenses, and assist with budget management. Maintain records of legal spend and prepare reports as needed.
- Draft, proofread, and distribute legal correspondence, reports, and presentations. Serve as the first point of contact for incoming inquiries to the legal team and triage requests accordingly.
- Scheduling meetings and responding to telephone queries as required
- Assist in the preparation and scheduling of employee training sessions on legal and compliance topics. Maintain attendance records and training documentation.
Support the legal team with ad hoc research, process improvement initiatives, and other special projects as needed.
- Contract Management & CLM Support:
- Assist in the preparation, review, and organization of contracts for submission into the company’s eventual Contract Lifecycle Management (CLM) system.
- Organize the company’s contract information and create a structured system for calendaring contractual deadlines, including expirations, renewals, and key obligations.
- Track and Communicate key contractual deadlines and the legal team’s commercial notes to the operations team to ensure awareness and compliance.
- Ensure proper tagging, metadata entry, and document formatting for efficient retrieval and workflow automation.
- Input, Monitor, Track and communicate contract expiration dates, renewal timelines, and obligations.
- Maintain and update contract templates and playbooks in coordination with the legal team.
- Cross-Functional Coordination:
- Collaborate with internal teams (e.g., Sales, Procurement, Operations) to ensure timely contract execution and compliance.
- Serve as a point of contact for contract-related inquiries and assist in resolving contractual issues.
- Work with external counsel on specific legal matters as needed.
Job Qualification Requirements:
Educational Experience – Bachelor’s degree and paralegal certification required.
Experience
- Strong attention to detail and ability to handle multiple projects simultaneously.
- Excellent organizational, communication, administrative and problem-solving skills.
- Experience in and/or strong interest in developing understanding of a corporate legal department environment
- Ability to work independently, as part of a team and with other corporate departments
- Proficiency in Microsoft Office Suite, Adobe Acrobat, and legal document management software.
