Position Overview

ProScan Imaging is seeking a highly motivated Corporate Counsel with at least two years of legal experience to join our growing healthcare organization. This role will support the General Counsel in providing legal guidance across multiple business functions, ensuring compliance with healthcare regulations, and managing contract negotiations. This role presents an exciting opportunity for an attorney looking to expand their expertise in healthcare law, corporate governance, and compliance within a dynamic and growing company. The ideal candidate will have experience in healthcare law, corporate governance, and regulatory compliance, and possess strong analytical and communication skills.

Key Responsibilities

Contract Review & Negotiation:

  • Draft, review, and negotiate various legal agreements with employees, contractors, and vendors.
  • Provide legal support for contract management and ensure agreements align with company policies and regulatory requirements.

Legal Advisory & Business Support:

  • Collaborate with internal stakeholders, including executives, department heads, and operational teams, to provide timely legal counsel.
  • Assist in risk management by identifying potential legal issues and proposing effective solutions.
  • Support the General Counsel in addressing inquiries related to business operations, regulatory compliance, and risk mitigation strategies.

Corporate Governance & M&A Support:

  • Assist in the drafting and review of corporate governance documents, such as bylaws, board resolutions, and corporate policies.
  • Support legal due diligence efforts for mergers, acquisitions, and strategic partnerships.
  • Help coordinate and manage corporate filings and entity management activities.

Healthcare Compliance & Regulatory Oversight:

  • Research and ensure compliance with applicable federal, state, and local healthcare laws and regulations, including HIPAA, Stark Law, Anti-Kickback Statute, and CMS (Centers for Medicare & Medicaid Services) guidelines.
  • Conduct legal research and provide guidance on compliance-related inquiries from internal teams.
  • Assist in the development and implementation of corporate compliance programs and training initiatives.

Qualifications & Requirements

  • Juris Doctor degree from an accredited law school.
  • Active bar membership in good standing in at least one U.S. jurisdiction.
  • Minimum of two years of legal experience, preferably in healthcare law, corporate transactions, or regulatory compliance.
  • Strong contract drafting and negotiation skills.
  • Excellent research, analytical, and problem-solving skills.
  • Ability to manage multiple projects in a fast-paced environment and provide practical, business-oriented legal solutions.
  • Strong interpersonal and communication skills, with the ability to work collaboratively across various departments.

Preferred Qualifications

  • Prior in-house counsel experience in a healthcare or corporate setting.
  • Knowledge of reimbursement laws, provider compensation structures, and fraud and abuse laws.
  • Familiarity with healthcare technology and data privacy regulations.
