About the Role:
As a Corporate Paralegal, you will play a pivotal role in supporting our legal and corporate operations. You will work closely with our legal team, executive leadership, and external stakeholders to ensure seamless corporate governance, contract management, NDA's, running a permitting process, compliance, and data room management. Experience in the renewables, energy, or construction industries is highly valued. This is an exciting opportunity to contribute to impactful projects that are shaping the future of renewable energy.
Key Responsibilities
Corporate Governance:
- Draft Board resolutions/consents.
- Manage and organize all corporate records (consents, minutes, LLC agreements, articles of organization, etc.).
- Manage the creation, preparation, and filing of new entities, annual reports to include but not limited to registration of LLCs, articles of organization etc.
- Experience using Diligent platform.
Commercial:
- Review MSAs and NDAs as needed.
Document Management:
- Develop and oversee corporate document management program while supporting ingoing organization of existing records.
Compliance:
- Manage compliance activities under relevant policies and procedures, including answering questions, conducting annual reviews, and ensuring adherence. Support employee training on compliance matters.
Environmental and Other Permitting:
- Support environmental permitting for campus, fiber conduit, and renewable projects, including document management, application support, and communication with outside counsel and consultants. Also, support efforts to obtain easements for conduit.
M&A/Finance:
- Support due diligence in M&A and financing transactions, including data requests and communication with internal and external teams.
Qualifications and Skills:
- Experience: Minimum of seven (7) years as a corporate paralegal, with a strong focus on corporate governance and contract management within an in-house legal department or law firm.
- Technical Proficiency: Experience with legal data rooms, contract databases, and systems such as NetSuite, Diligent, and SharePoint is highly desirable.
- Industry Knowledge: Prior experience in real estate, power, or renewable energy sectors is a plus.
- Communication: Exceptional written and verbal communication skills, with the ability to interact effectively with executive leadership and external partners.
- Organizational Skills: Strong time management, organizational, and multitasking abilities, with a keen attention to detail.
- Analytical Thinking: Demonstrated critical thinking and analytical problem-solving skills.
- Professionalism: High level of discretion, trustworthiness, and confidentiality.
- Team Player: Proven ability to work collaboratively in a team-oriented environment.
Education and Certification:
- Educational Background: Associate or bachelor's degree, with a certificate from an ABA-approved paralegal program preferred.
- Certifications: NALA Certified Paralegal, Advanced Certified Paralegal, NFPA Registered Paralegal, or NALS Professional Paralegal certification is a plus.
