We are an infrastructure company seeking corporate paralegal to join a highly collaborative workplace. Our focus is acquiring real estate and developing solar, wind and battery power projects to offer a unique solution to the market that enables a zero-carbon world.
The ideal candidate is experienced with real estate, contracts, permitting and corporate governance. Previous experience working for a law firm or corporate legal team required. Experience in the power and renewables sectors a plus.
Job Responsibilities:
Drafting, filing and managing various business entity documents for corporations and LLCs, including entity formation, entity foreign qualifications, obtaining EINs and annual reports
Prepare resolutions, consents, board minutes and other corporate governance documents
Communicate with internal and external stakeholders (e.g., board of directors and auditors)
Assist with all stages of corporate transactions, including mergers and acquisitions
Ensure compliance with corporate governance and regulatory requirements
Assist with contract negotiations and review
Support management of active contracts, including real estate leases
Develop, implement and manage policies and procedures for managing the company’s records
Prepare, update and manage corporate policies and procedures
Provide support in litigation and dispute resolution processes
Support office manager functions when required
Organizes and manages documents, including creating spreadsheets and retrieval systems
Uses legal software, databases and other software to support company operations

NetSuite, Diligent, and SharePoint systems experience a plus

Education and Experience Requirements:
At least five (5) years of experience as a corporate paralegal, with a focus on corporate governance and contract management in an in-house law department or law firm
Associate or bachelor’s degree and a certificate from an ABA approved school preferred
Certification, such as designation as a NALA Certified Paralegal or Advanced Certified Paralegal, National Federation of Paralegal Associations (NFPA) Registered Paralegal, or National Association for Legal Support Professionalism (NALS) Professional Paralegal, a plus
