Responsible for the effective and efficient management of the Legal department matters for multiple commonly owned companies. Providing legal advisory and administrative services to ensure timely completion of legal matters.
Essential Functions and Responsibilities:
- Assist with early-stage company documents, capitalization table upkeep and creating and early-stage financing documents
- Entity formation and management - EIN applications, certifications of formation, manage an entity database-formation, dissolutions, state and federal related filing and regulatory requirements
- Assist with corporate transactional work, including, but not limited to: closings of acquisition, financing and reorganization transactions
- Research and analyze legal information such as: statutes, recorded judicial decisions, legal articles, legal codes, treaties, constitutions
- Support corporate governance matters, transactions, and due diligence
- Review and file routine SEC filings
- Assist in preparation of preliminary security offerings
- Maintain agreements and files for a registered investment advisor
- Organize business entities and manage various state compliance matters
- Edit and proofread client documents
- Perform legal research
- Manage positive relations with internal and external clients through regular written and oral communication
- Provide paralegal services, including assistance with contracts, licensing, legal support of business matters, problem resolution, review and assistance and other legal services as determined
- Liaise with operational departments to ensure that where legal risks have been identified, appropriate courses of action have been taken
- Administrative functions, as required, to manage legal department and its business functions, including scheduling and organizing meeting, travel and various other office activities
- Contract management, establishing a database for contract deliverables.
- Identify, review and file governmental filings for the various business entities for the company
- Perform other duties as assigned
Qualifications
- Minimum 7 years’ experience performing same or similar job duties
- Expert Corporate Paralegal with demonstrated experience in contract management, administrative activities, and paralegal services. Securities experience a plus.
- Excellent communication, organizational, and analytical skills
- Strong written and verbal communications skills
- Knowledge of document management system(s)
- Ability to work independently and with a team – effectively and efficiently in a fast-paced environment with an ability to multi-task and prioritize numerous tasks
- High emotional intelligence for working in a somewhat demanding environment
- Excellent time management and project management skills
- Exceptional knowledge of MS Office Suite and Excel
- Ability to read, analyze, and interpret documents, such as contracts, policy and procedure manuals, maintenance instructions, and other related documents
- Ability to write effective reports and memos
- Strong sense of urgency to ensure deadlines are achieved
- At least 21 years of age
- High school diploma or equivalent
- Two year degree preferred
- Paralegal qualifications preferred
- Years of experience may be substituted for education
- Ability to communicate effectively in English, both written and verbal
- Obtain and maintain all work cards as required by the company
- Verify right to work in the United States
Physical Requirements
