Job Summary
Corporate Counsel (junior-level) will assist the General Counsel and legal department in performing the day-to-day legal work of the Company including without limitation commercial transactions, labor and employment issues, regulatory and compliance matters, intellectual property protection and other legal projects that may arise. The Corporate Counsel will collaborate with the business to minimize and mitigate legal risk and work across the back-office departments.
Key Duties
Review, draft, and negotiate contracts including, without limitation, customer and supplier agreements, master services agreements, non-disclosure agreements, joint development agreements, licensing agreements, and employment contracts
Counsel and advise business counterparts on legal risk and strategies and mitigation efforts
Assist with legal projects, regulatory, and compliance issues
Manage or assist in litigation matters
Engage and manage outside counsel, as necessary
Stay up to date on legal and regulatory issues and best practices
Performs other duties as assigned by General Counsel or management
Education / Training
Juris Doctorate degree from an accredited law school and active member of good standing in one or more jurisdiction within the in the United States
At least 3-5 years professional experience in a law firm and / or inhouse counsel position.
Required Work Experience / Skills
Experience reviewing and negotiating software license and intellectual property agreements
Expert knowledge of commercial transactions and contract review and negotiation
Ability to balance between legal risks and the business needs and provide pragmatic solutions to the business
Excellent verbal and written communication skills
Attention to detail and ability to exercise independent legal judgment
Ability to manage multiple matters at once
Preferred Work Experience / Skills
1-3 year working in an inhouse legal environment
Understanding of labor and employment law
Prior commercial litigation experience preferred
Discretionary Judgment
Uses independent judgment and discretion based upon the employee's knowledge and experience
Uses good judgement and possesses ethical work values
Physical Demands, Working Conditions, and General Employment Guidelines
Moderate or high levels of stress may be experienced in the performance of the job
Position is performed in a general office environment, home office, or approved remote workspace where physical work includes, but is not limited to, sitting, standing, reaching, kneeling, bending, and lifting to 25 lbs.

Daily use of the Microsoft Teams (phone), computer, printer, and other routine office equipment
Must have internet access,
