Financial Reporting and Technical Accounting Manager
Job Description
This role reports to the Senior Controller and is responsible for assisting in the preparation of the quarterly and annual financial statements including the Forms 10-Q and 10-K when Restem Group Inc (Restem or the Company) becomes public, including consolidated financial statements, footnote disclosures, and Management Discussion and Analysis (MD&A). The role is also responsible for conducting research on technical accounting issues, internal control processes and compliance, including the monitoring of developments in US GAAP and SEC regulations, assisting in preparing earnings releases and other public materials, coordinating with internal and external auditors during quarterly reviews and year-end audits, and providing assistance on ad hoc projects as required. Furthermore, this role will assist in the preparation of monthly and quarterly GL reconciliation and schedules as well as the annual and strategic financial plan of the Company, including the variance analysis of budget versus actual information. This position will interact with personnel within the Company.
Key Job Responsibilities:
- Preparation and analysis of the Company’s quarterly and annual financial statements or SEC filings on Forms 10-Q and 10-K, Form 8-Ks, when the Company becomes public, that include financial results, and responses to SEC comment letters.
- Coordinate and oversee external audits and reviews. Manage communications with external auditor on external financial statements and accounting issues to ensure auditor agreement with Company decisions on accounting disclosures and issues.
- Respond to internal/external inquiries regarding financial data reported or filed.
- Assist in the preparation of internal management reporting in connection with the quarterly reporting and Board and Committee meetings. Lead preparation of financial material used in communications to the Audit Committee of the Board of Directors and Senior Management covering accounting issues to enable decision making.
- Provide professional technical accounting guidance to Senior Management with regard to interpretation and analysis of financial programs, regulatory or policy changes. Maintain knowledge of ongoing external trends in the financial area. Prepare in-depth analysis of financial data due to regulatory/policy changes.
- Provide on-going advice on accounting issues to all levels and areas of the organization.
- Review of new contracts for compliance with revenue recognition guidance and other appropriate accounting guidance.
- Prepare, review and update internal controls documentation, including SOX, as appropriate.
- Establish and update accounting policies as necessary.
- Ensure compliance and timely filing of SEC filings, including preparation of supporting schedules underlying the financial information included in the financial reports.
- Lead the implementation and ongoing monitoring of significant new accounting pronouncements.
- Complete financial statement analysis in support of MD&A.
- Prepare calculations and other necessary schedules associated with areas such as derivatives and hedge accounting, fair value accounting, leases, share-based compensation and earnings per share.
- Identify opportunities for process improvements and lead initiatives to refine and streamline the financial reporting process.
- Perform accounting research and draft technical memos on an as-needed basis.
- Prepare certain GL reconciliations and schedules
- Assist in developing and managing the annual and long-term financial plan process including variance analysis
- Manage the review of detailed Xtensible Business Reporting Language (XBRL) tagging of financial statements and footnotes.
- Lead or participate in special projects as needed.
Minimum Skills Required:
• BS degree in accounting or related field required
• CPA or other relevant professional certification is required
• Minimum of 7 years of relevant experience, including public accounting experience is required
• Strong working knowledge of U.S. GAAP and SEC reporting
• Strong analytical and problem-solving skills
• Strong proficiency in Excel, Word, and PowerPoint
• Experience with SEC reporting tools and NetSuite preferred
• Strong work ethic, collaborative work style, motivated self-starter
